About modification of some regulatory legal acts of the National Bank of Ukraine concerning authorization of suppliers of financial services

According to Articles 7, of 15, 55-1, 56, of 61 Law of Ukraine "About the National Bank of Ukraine", Articles 14, of 21, of 33, of 36, of 38, of 39, of 40, 50 Laws of Ukraine "About financial services and finance companies", Articles 3, of 10, of 11, 33 Laws of Ukraine "About insurance", Articles 25, 58 Laws of Ukraine "About credit unions", Articles 15, 17 Laws of Ukraine "About payment services", the subitem 2 of Item 3 of the Section II of the Law of Ukraine of June 03, 2025 No. 4465-IX "About modification of some legal acts of Ukraine concerning development of financial inklyuziya in Ukraine", for the purpose of enhancement of regulation of activities in the market of the financial services Board of the National Bank of Ukraine decides:

1. Approve the Change in Regulations on procedure of authorization of activities of suppliers of financial payment services and limited payment services approved by the resolution of Board of the National Bank of Ukraine of October 07, 2022 No. 217 (with changes) which are applied.

2. No. 199 "About approval of the Regulations on authorization of suppliers of financial services and condition of implementation by them of activities for provision of financial services" (with changes) after Item 22 to add the resolution of Board of the National Bank of Ukraine of December 29, 2023 with new Item 22-1 of the following content:

"22-1. The National Bank when implementing supervision of activities of finance companies controls observance as of July 01, 2026 by finance companies of the restrictions determined in paragraph one of Item 142-1 of Chapter 11 of the Section II of Provisions taking into account the requirements determined in the paragraph the second Item 142-1 and Item 142-2 of Chapter 11 of the Section II of Provisions, also based on information, copies of the documents and explanations provided by finance companies in National Bank according to the written requirement.".

3. Approve Changes in Regulations on authorization of suppliers of financial services and condition of the implementation by them of activities for provision of financial services approved by the resolution of Board of the National Bank of Ukraine of December 29, 2023 No. 199 (with changes) (further - Changes in the Provision) which are applied.

4. The pawnshop having the right to provide financial service in trade in currency values in cash form as of day of entry into force of this resolution shall develop the plan of activities for the next three years (2027-2029) according to the requirements determined in Item 557 of Chapter 51 of the Section VII of the Regulations on authorization of suppliers of financial services and condition of the implementation by them of activities for provision of financial services approved by the resolution of Board of the National Bank of Ukraine of December 29, 2023 No. 199 (with changes), taking into account the Changes in the Provision approved by this resolution and its tax till December 31, 2026 in the National Bank of Ukraine.

5. To department of methodology of regulation of activities of non-bank financial institutions (Sergey Savchuk) after official publication to inform suppliers of financial services information on adoption of this resolution.

6. The resolution becomes effective from the date of, its official publication following behind day, except paragraphs of the twelfth - the fourteenth subitem 1 of Item 2 of the Changes in the Provision which are becoming effective since January 01, 2027.

Changes in Regulations on procedure of authorization of activities of suppliers of financial payment services and limited payment services

1. To add the Section XIII after Item 150 with new Item 150-1 of the following content:

"150-1. Suppliers of financial payment services are forbidden to perform issue of debt securities if they correspond at least to one of the criteria determined in Item 205 of Chapter 17 of the Section II of Provisions on authorization of suppliers of financial services.".

2. To add Item 181 of the Section XVI after the word "accountants" with the words "and key persons".

3. In the text of the Provision of the word of "official Internet representation" shall be replaced with words "Official Internet representation".

Changes in Regulations on authorization of suppliers of financial services and condition of implementation by them of activities for provision of financial services

1. In the Section I:

1) in Chapter 1:

in Item 2:

add subitem 4 with words ", or person providing conducting financial accounting if the supplier of financial services is not carried to the companies which are of public interest";

to state paragraph two of subitem 19 in the following edition:

"the internal auditor / the main internal auditor (the head of the structural unit, internal audit, responsible for carrying out, or person to who function of carrying out internal audit is assigned);";

2) in Chapter 1-1:

in the subitem 2 of Item 12-3 and the subitem 3 of Item 12-8 of the word and figure "the bases, determined in Item 3" shall be replaced with words also in figures of "the bases determined in Items 3, of 4, of 5, of 8, of 9, 14";

to exclude the subitem 3 of Item 12-13.

2. In the Section II:

1) in Chapter 3:

in Item 41:

the paragraph one after words of "license effective period" to add with the words "taking into account change of its amount or type";

the thirty fifth to state the paragraph in the following edition:

"The requirement of the subitem 26 of Item 41 of Chapter 3 of the Section II of this provision is applied to the financial companies / pawnshops / to credit unions which intend to provide financial payment services.";

add Item 41-1 with two new subitems of the following content:

"10) persons addressing to National Bank at the same time behind receipt of the license for activities of pawnshop and the license for implementation of currency transactions regarding trade in currency values in cash form;

11) to the pawnshop having the right to perform activities for trade in currency values in cash form.";

add Item 41-2 with two new paragraphs of the following content:

"The requirement of the subitem 2 of Item 41-2 of Chapter 3 of the Section II of this provision is not applied to persons who address at the same time for receipt of the license for activities of pawnshop and the license for implementation of currency transactions regarding trade in currency values in cash form.

The requirement of the subitem 3 of Item 41-2 of Chapter 3 of the Section II of this provision is not applied to the pawnshop intending to obtain the license for implementation of currency transactions regarding trade in currency values in cash form, to the pawnshop having the right to perform activities for trade in currency values in cash form.";

in Item 48:

the paragraph one after words of "trade in currency values" to add with words ", the pawnshop having the right to perform activities for trade in currency values in cash form";

paragraph two after words of "trade in currency values", the pawnshop having the right to perform activities for trade in currency values in cash form";

add Item with the new paragraph of the following content:

"Requirements of paragraphs of the first and second Item 48 of Chapter 3 of the Section II of this provision do not extend to Fund of partial guaranteeing the credits in agricultural industry.";

Item 85 of Chapter 8 to exclude 2);

Paragraph two of Item 142-1 of Chapter 11 to add 3) with words "(further - Rules of creation and submission of the reporting)";

4) in Chapter 14:

Item 174 after words "financial services /" to add with words "licenses for implementation of currency transactions regarding trade in currency values in cash form /";

in Item 179:

in subitem 1 of the word" (at the rate from one percent of the capital taking into account its increase)" to exclude;

in subitem 3:

to add the subitem after the word "confirm" with the words "according to the procedure, determined by this Provision;";

"the regulatory legal act of National Bank about general requirements to documents and procedure for their submission to National Bank within the separate procedures" shall be replaced with words words also in figures "in the Provision No. 200";

to add Item after subitem 3 with the new subitem of the following content:

"4) by the method which is not providing implementation of cash calculations (without accomplishment/carrying out payment transactions / initiation of the payment instructions confirming implementation of such money transfer).";

Item 184 of Chapter 15 after figures and words "No. 194 (with changes)" to add 5) with words and figures "(further - No. Provision 194)";

6) in Chapter 17:

the subitem 4 of Item 205 after words "prudential requirements)," to add with words and figures "the legislation of Ukraine regulating activities in the payment market (except measure of the influence determined in Item of 1 part one of article 84 of the Law on payment services), legislations of Ukraine";

in Item 209:

in subitem 1 of the word "in banks" shall be replaced with words "in banks;";

in subitem 2 of the word "in bank" shall be replaced with words "in bank;";

add Item with the new subitem of the following content:

"8) the goodwill of the investor - physical person National Bank is not recognized as not irreproachable.";

7) in Chapter 18:

add Item 218 with the new paragraph of the following content:

"Own funds of the investor which are raised on the terms of subordinated debt for the purpose of accounting of subordinated debt to the regulatory capital of the insurer, credit union, payment organization, organization of electronic money, the regulating capital / in prudential requirements of finance company shall belong to such person on the property right, not be under any encumbrances or restrictions at the disposal and not to be means with condition of their obligatory return.";

in paragraph one of Item 233 of the word "the regulatory legal act of National Bank about general requirements to documents and procedure for their submission to National Bank within the separate procedures" to replace with the word and figures "Provision No. 200";

8) the tenth Item 297 of Chapter 19 to exclude the paragraph.

3. In the Section IV:

The subitem 8 of Item 350 of Chapter 25 after words "and/or the head" to add 1) with the words "and/or performs influence on management or activities";

Subitems 6, of the 8th Item 359 of Chapter 26 after the words "and/or heads" to add 2) with the words "and/or perform influence on management or activities".

4. In the Section V:

1) in Chapter 33:

in paragraph one of Item 423 of the word "in the amount of one and more percent of the authorized (compound) capital (taking into account its increase)" to exclude;

to add Chapter after Item 423 with new Item 423-1 of the following content:

"423-1. The finance company, pawnshop independently in internal documents determine the procedure and the list of documents for assessment of financial/property condition of the legal entities and physical persons which performed additional contributions (deposits) to her / his authorized (compound) capital at the rate to one percent of her / his authorized (compound) capital.

The finance company, pawnshop shall perform check of sources of origin of means at the expense of which their authorized capital at the rate to one percent of the authorized (compound) capital according to the procedure is increased, determined by such/such finance company, pawnshop taking into account requirements, certain in paragraphs three - the eighth Item 423-1 of Chapter 33 of the Section V of this provision.

The finance company, pawnshop shall check that means at the expense of which her / his authorized capital at the rate to one percent of the authorized (compound) capital is increased:

1) if they arrived from legal entities, - were received as a result of the transactions made on market conditions including the transactions made by the previous owners whose conditions do not contradict the legislation of Ukraine have no signs of fictitiousness and / or pritvornost, are such which are directed to achievement of economic result, the economic and/or personal targets which do not violate requirements of the legislation of Ukraine and are not directed to such violations;

2) if they arrived from physical persons:

were received as a result of transactions, including the transactions made by the previous owners, made on market conditions which content does not contradict the legislation of Ukraine which have no signs of fictitiousness and/or pritvornost, are such which are directed to achievement of economic result, the economic and/or personal targets which do not violate requirements of the legislation of Ukraine and are not directed to such violations;

money continuously within year is stored/were in circulation in non-cash form on accounts in financial institutions which according to the legislation of Ukraine have the right to provision of financial payment services on opening of accounts, credit institutes in Ukraine / abroad, including transfers of these means between accounts, including accounts of their previous owners, before the corresponding date (except the cases determined in Item 488 of Chapter 42 of the Section V of this provision).

The finance company, pawnshop shall store documents based on which such inspection, within five years from the date of conducting such check is carried out.";

The paragraph third the subitem 1 of Item 440 of Chapter 36 to state 2) in the following edition:

"the working day preceding date of acquisition/increase in essential participation, - regarding payment which implementation is provided in the future;".

5. In the Section VII:

1) in Chapter 51:

in Item 553:

to add the subitem 4 after the word of "pawnshop" with words "(except the pawnshop intending to perform activities for trade in currency values in cash form)";

in subitem 5 of the word", having right to perform activities for trade in currency values" shall be replaced with words "/the pawnshop intending to perform activities for trade in currency values in cash form,";

the paragraph one of Item 557 after words of "significant finance company" to add with words ", the pawnshop having the right to perform activities for trade in currency values in cash form";

2) in Chapter 52:

in Item 578:

in subitem 6 of the word and figures", - moves exclusively financial the company and pawnshop, except finance company which submits the plan of activities according to the subitem 17 of Item 578 of Chapter 52 of the Section VII of this provision" to exclude;

in subitem 17 of the word", - moves the financial company guarantor, the finance company having the right to perform activities for trade in currency values" to exclude;

to add Item after subitem 17 with the new subitem of the following content:

"18) the copy of the reference of bank issued not later than 20 calendar days about day of its submission to National Bank, the applicant of money confirming availability on accounts in the amount of, determined in Item 173 of Chapter 14 of the Section II of this provision, taking into account the requirement determined in Item 174 of Chapter 14 of the Section II of this provision.";

to add Chapter after Item 578 with three new Items 578-1-578-3 of the following content:

"578-1. The requirement of the subitem 6 of Item 578 of Chapter 52 of the Section VII of this provision concerning submission to National Bank of the updated general description of vision of the beginning, the organizations and further business development is applied only to:

1) finance companies;

2) pawnshops.

578-2. The requirement of the subitem 6 of Item 578 of Chapter 52 of the Section VII of this provision concerning submission to National Bank of the general description of vision of the beginning, the organizations and further business development is not applied to:

1) finance companies which address to National Bank for inclusion in the license of auxiliary view of financial services in provision of guarantees;

2) finance companies - guarantors who address to National Bank for inclusion in their licenses of other types of financial services;

3) the finance companies having the right to perform activities for trade in currency values;

4) significant finance companies;

5) finance companies which address to National Bank for inclusion in their license of auxiliary view of financial services - financial payment services on money transfer without opening of the account and/or on implementation of acquiring of payment instruments;

6) the pawnshops having the right to perform activities for trade in currency values in cash form and the financial services addressing to National Bank for inclusion in their license of auxiliary view - financial payment services on money transfer without opening of the account and/or on implementation of acquiring of payment instruments.

578-3. The requirement of the subitem 17 of Item 578 of Chapter 52 of the Section VII of this provision concerning submission to National Bank of the updated plan of activities of finance company is applied only to:

1) finance companies - guarantors who address to National Bank for inclusion in their licenses of other types of financial services;

2) the finance companies having the right to perform activities for trade in currency values and other types of financial services addressing to National Bank for inclusion in their licenses;

3) significant finance companies which address to National Bank for inclusion in their licenses of other types of financial services;

4) finance companies which address to National Bank for inclusion in their license of auxiliary view of financial services in provision of guarantees.".

6. In Chapter 57 of the Section VIII:

Item 625 to state 1) in the following edition:

"625. The National Bank considers the document package given for review acquisitions or increases/approvals of actually acquired or increased essential participation in:

1) to the insurer - within five months from the date of receipt of the statement determined by this Provision, for review acquisitions or increases in essential participation in insurance;

2) to the insurer - within two months from the date of receipt of complete document package determined in this provision, for review actually acquired or the increased essential participation in insurance;

3) predostavitel of financial payment services - within five months from the date of receipt of the statement for intention to acquire/increase essential participation / about approval of the acquired/increased essential participation in payment organization, organization of electronic money or the operator of mail service who has the right to provide financial payment services, and the documents attached to it.

The National Bank considers the document package given the applicant for review of acquisition or increases in essential participation in the insurer in case of submission of documents for receipt of prior consent to increase in the authorized capital of the insurer according to the simplified procedure taking into account the features determined by the Insurance law.";

2) in Item 627:

in paragraph one the word "person" shall be replaced with words "/approval actually acquired or increased by person";

in paragraph three the word "person" shall be replaced with words "/approval acquired or increased";

3) in Item 631:

the first offer of paragraph one after the word "increase" to add with words "/approval actually acquired or increased";

state paragraph two in the following edition:

"The National Bank sends to the applicant or his authorized representative the copy of the decision on approval or will lock acquisitions or increases in essential participation in provision of financial payment services / approvals of the acquired or increased essential participation / refusal in approval of the acquired/increased essential participation in provision of financial payment services after its actual acquisition or increase instantly, and in the presence of the reasonable reasons - no later than three working days from the date of its acceptance.".

8. In the Section X:

1) in Chapter 66:

in the subitem 2 of Item 742 of the word and figures "participants of the market of the non-bank financial services in the National Bank of Ukraine approved by the resolution of Board of the National Bank of Ukraine of November 25, 2021 No. 123 (with changes) (further - Rules of creation and submission of the reporting)" to exclude;

in the subitem 4 of Item 743 of the word and figures "about requirements to management system of the insurer, the approved resolution of Board of the National Bank of Ukraine of December 27, 2023" to replace No. 194 (with changes) with "No. 194" figures;

Item 762 of Chapter 69 to add 2) with words and figures ", including documents based on which sources of origin of means at the expense of which their authorized capital at the rate to one percent of the authorized (compound) capital, according to Item 423-1 of Chapter 33 of the Section V of this provision is increased are performed".

9. In the Section XII:

1) in paragraphs one, the second Item 800 of Chapter 75 of the word "adoption of such decision by National Bank" shall be replaced with words "entry into force of such decision of National Bank";

10. In appendices to the Provision:

2) in appendix 2:

in Item 1 of the word and figures "participants of the market of the non-bank financial services to the National Bank of Ukraine approved by the resolution of Board of the National Bank of Ukraine of November 25, 2021 No. 123 (with changes) (further - 123)" to exclude appendix 5 to Rules No.;

in paragraph one of Items 2-4 figures "No. 123" shall be replaced with words "creation and submission of the reporting";

state Item 5 in the following edition:

"5. Inability signs finance company, pawnshop of activities for provision of such financial service as trade in currency values is the fact that as of each reporting date within six months in a row there is no information:

1) on indicators which representation is provided in tables 3, 4 appendices 5 to Rules of creation and submissions of the reporting, namely:

LRF017001 "Receipt of funds on financial service: trade in currency values", given as a part of Regulatory balance;

LRF018001 "Payments on rendering financial service: trade in currency values", given as a part of Regulatory balance;

LRF014007 "Income from provision of financial services: trade in currency values", given as a part of Regulatory balance;

2) on the indicators of the statistical reporting determined in appendix 1 to Rules of the organization of the statistical reporting submitted to the National Bank of Ukraine, the approved resolution of Board of the National Bank of Ukraine of November 13, 2018 to No. 120 (with changes), namely:

A73013 "The amount of the purchased cash foreign currency/weight of the purchased bank metals at physical persons in cash desk of bank, non-bank financial institution, the operator of mail service";

A73014 "The amount of the purchased cash foreign currency/weight of the purchased bank metals at physical persons in foreign exchange office";

A73015 "The amount of the purchased cash foreign currency/weight of the purchased bank metals at physical persons in foreign exchange office according to agency agreements";

A73029 "The amount of the sold cash foreign currency/weight of the sold bank metals to physical persons through cash desk of bank, non-bank financial institution, the operator of mail service";

3) in appendix 3:

in Item 1 of the word and figures "participants of the market of the non-bank financial services to the National Bank of Ukraine approved by the resolution of Board of the National Bank of Ukraine of November 25, 2021 No. 123 (with changes) (further - 123)" to exclude appendix 5 to Rules No.;

in Item 2, paragraph one of Items 3, 4 figures "No. 123" shall be replaced with words "creation and submission of the reporting".

11. In the text of the Provision of the word of "official Internet representative office of National Bank", "official Internet representation", "the official Internet representation" shall be replaced with words "Official Internet representative office of National Bank".
