1. Make changes and additions to the Rules of issue of securities and state registration of releases of issued securities approved by the order of the CEO of the Center for coordination and control of functioning of the security market under the State Property Committee to the Republic of Uzbekistan of July 16, 2009 No. 2009-40 (рег. No. 2000 of August 30, 2009) (Collection of the legislation of the Republic of Uzbekistan, 2009, No. 36, the Art. 394), according to appendix.

2. This order becomes effective after three months from the date of its official publication.

Appendix

Changes and additions made to Rules of issue of securities and state registration of releases of issued securities

1. In Item 1:

to state paragraphs of the seventh and eighth in the following edition:

"the notification on the termination of circulation period of corporate and infrastructure bonds (further - bonds) - the report of the issuer on payment of nominal value in case of bond redemption or about the return bond buyback in case of early repayment of bonds;

open subscription - placement of securities among unrestricted number of investors with advertizing use, including method of public offer of securities;";

twenty third to state the paragraph in the following edition:

"new issue of securities - the action of joint-stock company directed to the emergence of securities in case of reduction of nominal value, change of the rights, consolidation or crushing performed after complete placement before issued securities;";

add with the paragraph of the following content:

"convertible securities (further - KTsB) - preferred shares, corporate bonds which can be turned into common shares of the same issuer.".

2. In Item 35 of the word "privatizations, demonopolizations" shall be replaced with words to "assistance to the privatized companies".

3. In the paragraph the second the subitem "v" of Item 74 of the word of "convertible securities" to replace with abbreviation of "KTsB".

4. Add Item 851 with the subitem "d" of the following content:

"e) partial converting of KTsB of one release.".

5. To state the paragraph of the seventh of Item 91 in the following edition:

"If:

the decision specified in the subitem "an" of this Item is accepted the single shareholder, the copy of the relevant decision of the shareholder is submitted;

changes and (or) amendments are connected with converting of earlier issued KTsB along with documents for state registration of additional issue of securities the documents specified in subitems "b" and "v" of this Item and also the copy of the statements of owners of KTsB certified by the issuer which are subject to converting (in the presence) are submitted.".

6. Add Item 100 with the subitem "e" of the following content:

"e) convertings of all KTsB of one release.".

7. In Item 102:

in the subitem "a":

to exclude the word of "shares" from paragraph one;

word in paragraph four "the issued account" shall be replaced with words "custody account";

in paragraph five of the subitem "b" and the paragraph third the subitem "g" of the word "the issued account" shall be replaced with words "custody account";

"g) in case of converting of all KTsB of one release:

the original (originals) of the decision (decisions) on release of KTsB and the prospectus (prospectuses), and also all changes and amendments to them (in case of modification and amendments). In case of loss of originals of the specified documents copies of announcements of loss in mass media and on the Single portal of corporate information are represented;

copies of the statements of all owners of KTsB for converting of KTsB belonging to them certified by the issuer (in the presence).".

8. State appendix No. 7 in edition according to appendix to these changes and amendments.

9. These changes and amendments are approved with the State committee of the Republic of Uzbekistan on assistance to the privatized companies and development of the competition and the Central bank of the Republic of Uzbekistan.
