RESOLUTION OF BOARD OF THE NATIONAL BANK OF UKRAINE

About approval of Changes in Regulations on the organization of risk management system in banks of Ukraine and banking groups and about single questions of activities of banks of Ukraine and banking groups on risk management of the third parties

According to Articles 7, of 15, of 55, 56 Laws of Ukraine "About the National Bank of Ukraine", Articles 44, of 66, 67 Laws of Ukraine "About banks and banking activity", for the purpose of enhancement of requirements to risk management in banks of Ukraine and the Board of the National Bank of Ukraine banking groups decide:

1. Approve the Change in Regulations on the organization of risk management system in banks of Ukraine and banking groups approved by the resolution of Board of the National Bank of Ukraine of June 11, 2018 No. 64 (with changes) (further - Changes in No. Provision 64) which are applied.

2. To banks of Ukraine / to responsible persons of banking groups:

1) to develop/finish and enter intra bank/intra group bank documents concerning risk management taking into account Changes into the Provision No. 64 - no later than June 30, 2027;

2) to determine the list of the critical legal entities or physical persons which are subjects of managing, providing services directly to the bank/member of banking group (further - the TPSP supplier), according to the critical services provided by the TPSP suppliers established in intra bank/intra group bank documents of criteria of determination and criteria of determination of the critical functions supported by services of TPSP suppliers - no later than June 30, 2027;

3) to provide observance of requirements of Changes in the Provision No. 64:

rather critical TPSP suppliers - not later than since July 01, 2027;

concerning TPSP suppliers who are not determined critical, - not later than since June 30, 2028;

4) to provide rather critical TPSP suppliers with whom agreements bank are signed till July 01, 2027 and which will remain acting after July 01, 2027, implementation of the monitoring provided in the subitem 2 of Item 290-54 of Chapter 45-7 of the Section VI of the Regulations on the organization of risk management system in banks of Ukraine and banking groups approved by the resolution of Board of the National Bank of Ukraine of June 11, 2018 No. 64 (with changes) (further - No. Provision 64), - no later than October 01, 2027 and further with the frequency determined in the subitem 2 of Item 290-54 of Chapter 45-7 of the Section VI of the Provision No. 64.

3. To banks of Ukraine under the agreements/agreements on service/servicing level (further - agreements) signed with TPSP suppliers before day of entry into force of this resolution no later than December 31, 2026:

1) to carry out the analysis of observance by bank in the relations with TPSP suppliers of the requirements, restrictions and prohibitions established by the laws of Ukraine, regulatory legal acts of the National Bank of Ukraine (further - National Bank) and other state bodies of Ukraine which requirements are applied to TPSP suppliers in the respective sphere (further - the legislation), relatively:

availability at the TPSP supplier and/or his final beneficial owners of nationality or the tax residence of the state aggressor and/or permanent residence in the territory of the state aggressor;

application to the TPSP supplier, his final beneficial owners Ukraine, foreign states (except the states performing the armed aggression against Ukraine), interstate associations or the international organizations of sanctions (it is applied during effective period of sanctions and within three years after their cancellation or the termination of term for which they were entered);

inclusion of the TPSP supplier, his final beneficial owners in the list of faces tied with implementation of terrorist activities or to which the international sanctions are applied (it is applied during the term of stay of person in the list and within 10 years after exception of it);

checks of the TPSP supplier, his final beneficial owners concerning belonging to the faces tied with the state aggressor specified in paragraphs the second - the fifth the subitem 1 of Item 1 of the resolution of the Cabinet of Ministers of Ukraine of March 03, 2022 No. 187 "About ensuring protection of national interests in future claims of the state of Ukraine in connection with military aggression of the Russian Federation" (with changes);

2) on analysis results, Item 3 of this resolution which is carried out according to the subitem 1 to provide to National Bank in the form established by it information on TPSP suppliers in the relations with whom discrepancy to requirements, restrictions, the prohibitions established by the legislation is revealed;

To accept 3) concerning each of TPSP suppliers in the relations with whom discrepancy to requirements, restrictions, the prohibitions established by the legislation based on reasonable judgment one of the following decisions is revealed:

about the termination in the shortest possible time of contractual relations with the TPSP supplier;

about plan development of step-by-step reducing amount received from the TPSP service provider and the termination of contractual relations with it (further - the Plan of the step-by-step termination of contractual relations);

To report 4) about accepted by bank according to the subitem 3 of Item 3 of this resolution of the decision concerning TPSP suppliers in any form National Bank.

4. The bank in case of decision making about plan development of the step-by-step termination of contractual relations no later than March 31, 2027 claims:

1) council of the bank - The plan of the step-by-step termination of contractual relations with the critical TPSP supplier;

2) relevant collegiate organ of bank - The plan of the step-by-step termination of contractual relations with the TPSP supplier who is not determined by critical.

5. To banks of Ukraine / to responsible persons of banking groups since July 01, 2027 about day of the termination of contractual relations with the critical TPSP supplier concerning whom the Plan of the step-by-step termination of contractual relations is approved:

1) to determine risk level of the third parties by the contract with such critical TPSP supplier as high;

2) to consider such risk when implementing stress testing of risk of the third parties according to the basic scenario according to the approaches established in intra bank/intra group bank documents for critical TPSP suppliers;

3) to perform assessment of potential influence of complete suspension of provision by the critical TPSP service provider of bank on going concern and profile of risk of bank.

6. To department of methodology of regulation of activities of banks (Oksana Prisyazhenko) after official publication to inform banks of Ukraine information on adoption of this resolution.

7. The resolution becomes effective from the date of, its official publication following behind day.

Changes in Regulations on the organization of risk management system in banks of Ukraine and banking groups 1. In the Section I:

1) in Item 3 of Chapter 1:

replace subitems 5-2, 5-3 with three new subitems 5-2-5-4 of the following content:

"5-2) intra group TPSP supplier (in English of intragroup TPSP-intragroup Third - Party Service Provider) - the supplier who is member of banking group according to article 2 of the Law of Ukraine "About banks and banking activity" and provides services to other members of this banking group;

5-3) chief risk manager (CRO) - the main official of bank responsible for risk management;

5-4) chief komplayens-manager (CCO) - the main official of bank responsible for control of observance of regulations (комплаенс);";

to add Item after subitem 7 with new subitem 7-1 of the following content:
