About approval of Rules of activities of autonomous cluster fund "Astana Hub"

According to the subitem 4) of item 4 of article 9 of the Law of the Republic of Kazakhstan "About innovative cluster "Astana the Hub" I ORDER:

1. Approve the enclosed Rules of activities of autonomous cluster fund "Astana Hub" (further - Rules).

2. Recognize invalid some orders according to appendix to this order.

3. To provide to committee of digital assets and disruptive technologies of the Ministry of artificial intelligence and digital development of the Republic of Kazakhstan in the procedure established by the legislation:

1) state registration of this order in the Ministry of Justice of the Republic of Kazakhstan;

2) placement of this order on Internet resource of the Ministry of artificial intelligence and digital development of the Republic of Kazakhstan after its official publication;

3) within ten working days after state registration of this order in the Ministry of Justice of the Republic of Kazakhstan submission to Legal department of the Ministry of artificial intelligence and digital development of the Republic of Kazakhstan of data on execution of the actions provided by subitems 1) and 2) of this Item.

4. To impose control of execution of this order on the supervising vice-minister of artificial intelligence and digital development of the Republic of Kazakhstan

5. This order becomes effective after ten calendar days after day of its first official publication, except for subitems 8), 9) of Item 7 of Rules which become effective since January 1, 2029.

Rules of activities of autonomous cluster fund "Astana Hub"

Chapter 1. General provisions

1. These rules of activities of autonomous cluster fund "Astana Hub" (further - Rules) are developed according to the subitem 4) of item 4 of article 9 of the Law of the Republic of Kazakhstan "About innovative cluster "Astana the Hub" and determine procedure for activities of autonomous cluster fund "Astana Hub" (further - Fund).

2. In the activities the Fund is guided by the legislation of the Republic of Kazakhstan, these rules, and also the charter and other internal documents of Fund.

3. The fund performs the functions provided by article 8-1 of the Law of the Republic of Kazakhstan "About innovative cluster "Astana the Hub".

4. Accomplishment of the functions of Fund provided in Item 3 of these rules is performed by means of program implementation, information and communication technologies developed by Fund for the purposes of stimulation of development in the following directions:

1) creation of educational consortia with the organizations enabling program implementation of the higher, professional and technical education for the purpose of the organization and holding the training actions in the form of rates, seminars and trainings of advanced training and retraining of personnel;

2) establishment and maintenance of bonds with the state bodies, public and other organizations working in the spheres integrated to activities of Fund in the territory and outside the territory of the Republic of Kazakhstan including for the purpose of creation and implementation of partner programs and projects, increase in professional level of staff of the organization, development of new techniques of their adaptation and application within organization activity;

3) the organization and holding the training actions and rates for preparation, retraining and advanced training, including in the form of seminars, trainings and other komandobrazuyushchy corporate actions for wide range of managerial and technological disciplines;

4) development of methodical materials, education guidances, including in electronic form, remote rates, modular and multimedia programs;

5) the organization and holding the exhibitions, forums, tenders, round tables, meetings, Olympic Games and other actions which are not prohibited by the legislation;

6) participation in preparation and holding the actions organized by other organizations, state bodies, public foreign funds for the questions connected with activities of Fund;

7) implementation and implementation of innovative educational and scientific programs and technologies;

8) production experimental and prototypes of new technologies and their testing;

9) the organization and carrying out analytical researches in the field of infocommunication technologies;

10) technological business incubation in the field of ICT;

11) acceleration;

12) involvement of domestic and foreign experts in the field of ICT;

13) assistance in protection of the intellectual property rights.

5. Rendering services in holding educational actions for the organization of training of the qualified personnel in the field of ICT provided by subitems 5-3) and 5-10) of article 8-1 of the Law of the Republic of Kazakhstan "About innovative cluster "Astana the Hub" performs Fund, according to Chapter 6 of these rules and internal documents of Fund.

6. Search of potential investors for projects implementation of participants of innovative cluster is performed by the following methods:

1) involvement of domestic and foreign investors;

2) organization and holding actions for demonstration of projects of participants of innovative cluster;

3) the organization and holding actions for commercial realization and (or) transfer of intellectual property for domestic developments in the field of ICT under the agreement on transfer or provision of the exclusive (property) rights;

4) establishment and maintenance of continuous communications with mass media for the purpose of marketing promotion of activities of Fund;

5) establishment of contractual relations with foreign legal entities and physical persons, necessary for activities of Fund;

6) assistance in holding domestic actions in the field of ICT and projects (exhibitions, forums and conferences) and participation in foreign actions, including by allocation of financial resources.

Chapter 2. Order of registration of participants "Astana Hub" and issue of the relevant supporting documents

7. For registration as the participant "Astana the Hub" the applicant needs to conform to the following requirements:

1) to be legal entity;

2) absence at the time of filing of application for registration as the participant "Astana the Hub" branches;

3) not to belong to the organizations implementing (realized) the investment priority project according to article 284 of the Entrepreneurial code of the Republic of Kazakhstan and also the investment strategic project under the investment contracts signed till January 1, 2015;

4) not to be legal entity, fifty and more percent of shares (shares in the authorized capital) which directly or indirectly belong to the state, national managing holdings, national holdings and the national companies or their affiliated organizations;

5) not to be subsoil user or the participant of special economic zone;

6) not to be payer of excises according to article 535 of the Tax Code of the Republic of Kazakhstan;

7) to perform one and (or) several priority types of activity in the field of ICT, and also within one priority type of activity to perform one and (or) several works provided in it according to the List of priority types of activity in the field of ICT approved by the order of the Deputy prime minister – the Minister of artificial intelligence and digital development of the Republic of Kazakhstan of October 20, 2025 No. 521/Tax Code (it is registered in the Register of state registration of regulatory legal acts for No. 37182) (further - the List of priority types of activity in the field of ICT).

8) to perform the activities oriented mainly to commodity export, works and (or) services out of limits of the Republic of Kazakhstan;

9) the share of income of the legal entity gained under contracts with state bodies of the Republic of Kazakhstan and subjects of the quasi-public sector does not exceed 50 (fifty) percent from the gross annual income determined according to the legislation of the Republic of Kazakhstan.

8. For registration as the participant "Astana the Hub" the applicant directs the electronic registration application as the participant "Astana the Hub" with attachment of the documents specified in Item 9 of these rules (further - the application form on participation), filled in on Internet resource of Fund.

Submission of the statement for registration as the participant "Astana the Hub", its further review by Fund, the notification on change of the status of the statement is performed by means of Internet resource of Fund.

9. To the statement on participation the following data are represented:

1) the business plan of the project containing the necessary data specified in appendix 1 to these rules;

2) data on lack (availability) of debt according to which account is kept in tax authorities, not exceeding the sixfold size of the monthly settlement indicator established for the corresponding financial year by the law on the republican budget, issued not earlier than before 10 (ten) calendar days preceding date of filing of application on participation;

3) the data confirming the location where the applicant plans to perform activities. In case of change of the location the applicant notifies on it Fund.

10. The statement on participation and the data attached to it is filled in on Kazakh or Russian, or in English languages. When filling information in English the Fund provides their transfer on Kazakh or Russian.

11. The applicant provides completeness and reliability of the submitted documents, basic data, calculations, reasons containing in the statement on participation.

12. The fund within 5 (five) working days from the date of the direction of the statement on participation with all data specified in Item 9 of these rules considers them on completeness and reliability, and also on compliance to the requirements specified in these rules.

13. In case of completeness and reliability of the statement on participation and the data specified in Item 9 of these rules and also the compliance to requirements specified in these rules, Fund sends the statement on participation for consideration of the Commission on selection of participants "Astana the Hub" (further - the Commission). The provision and structure of the Commission is determined by Fund.

The commission consists of representatives of state bodies and (or) specialists in the field of ICT with the corresponding qualification, and also in structure of the Commission the international experts can be attracted.

14. In case of detection of incompleteness and (or) unauthenticity and (or) discrepancy of the data containing in the statement on participation, Fund no later than 5 (five) working days from the date of the direction applications on participation directs to the applicant the notification with indication of notes.

15. The fund from the moment of elimination of notes sends the statement on participation for consideration in the Commission.

The commission within 10 (ten) working days considers and Astana the Hub" or makes the decision on registration of the applicant on refusal in registration as the participant ".

16. The commission refuses registration of the applicant as the participant "Astana the Hub" on the following bases:

discrepancy of the business plan to the data provided by appendix of 1 these rules;

discrepancy of the project of the applicant to one or several directions of priority types of activity in the field of ICT, and also within one priority type of activity to one and (or) several works provided in it according to the List of priority types of activity in the field of ICT.

17. The fund sends to the applicant the notice of registration as the participant "Astana the Hub" or motivated refusal in such registration, within 5 (five) working days from the date of adoption of such decision by the Commission.

The variation of the statement does not interfere with the repeated address of the applicant on condition of elimination of the reasons which formed the basis for statement variation.

18. To the participant "Astana the Hub" within 3 (three) working days from the date of signing of the standard agreement about conditions of activities of the participant "Astana the Hub" the registration certificate of the participant "Astana the Hub" in form, according to appendix 2 to these rules is granted.

19. The information about the participant "Astana the Hub", after signing of the standard agreement about conditions of activities of the participant "Astana the Hub", within 3 (three) working days is included in the List of participants "Astana the Hub", Fonda placed on Internet resource.

20. In case of change and (or) amendment of the type of activity performed by the participant "Astana the Hub" within the List of priority types of activity in the field of ICT the participant "Astana the Hub" directs electronically the application for change and (or) amendment of type of activity with business plan attachment completed on Internet resource of Fund. The decision on change and (or) amendment of type of activity is accepted by the Commission within 10 (ten) working days from the moment of receipt of the statement for change and (or) amendment of type of activity from Fund.

Chapter 3. Order of interaction of Fund with participants for the organization of their activities

Paragraph 1. Procedure for entering by participants of payments into Fund

21. The participant "Astana the Hub" brings the membership fees to Fund from income gained for prior quarter when implementing activities, no later than the 25th following for expired quarter.

22. The membership fees and payments of participants "Astana the Hub" are enlisted on the current account of Fund in bank of the second level of the Republic of Kazakhstan.

23. The size of the membership fees is determined by the internal regulating document of Fund.

Paragraph 2. The term and completion of participation in "Astana the Hub"

24. Participation term in "Astana the Hub" is determined by Fund and there cannot be at least 1 (one) year.

25. The application for prolongation of term of participation is submitted to Fund no later than 10 (ten) working days before the termination of term of participation.

In case of non-compliance with submission due date of the statement on prolongation of term of participation, the applicant is registered according to Item 8 of these rules.

The fund provides the certificate on prolongation of term of participation in form, according to appendix 3 to these rules.

26. Participation in "Astana the Hub" comes to the end in planned or early procedure.

27. The planned finish is understood as the expiration of the period specified in the certificate of the participant "Astana the Hub".

28. Early termination of participation in "Astana the Hub" is performed in the following cases:

1) detection of inexpediency of further project implementation by Fund by results of the monitoring which is carried out according to paragraph 4 of this Chapter;

2) achievements of the planned results;

3) refusal of the participant "Astana the Hub" from further project implementation within programs of Fund;

4) non-presentations of the data and reports provided by Items 37, of 38 and 39 these rules;

5) liquidations of legal participating person;

6) failure to pay the membership fees according to Item 21 of these rules;

7) non-executions by the participant "Astana the Hub" the obligations provided by the standard agreement about activities conditions.

29. The participant "Astana the Hub" in 10 (ten) working days prior to decision making on refusal in further project implementation, within programs of Fund, notifies on it Fund.

30. In the cases provided by subitems 1), 2), 7) of Item 28 of these rules, the Fund submits for consideration of the Commission question of early termination of participation of the participant in "Astana the Hub".

The commission in the presence of the bases provided by subitems 1), 2) of 7) of Item 28 of these rules makes the decision on early termination of participation in "Astana the Hub".

Paragraph 3. Counter obligations of Participants "Astana Hub"

31. The participant "Astana the Hub" assumes accomplishment of the counter obligations established by these rules, internal regulating documents of Fund and conditions of the standard agreement about conditions of activities of the participant "Astana the Hub" during the participation period in "Astana the Hub".

32. Within 10 (ten) working days from the date of receipt of request of Fund the participant "Astana the Hub" provides to Fund the information necessary for the purpose of tax accounting, and also the data for accounting (financial) records.

Within 10 (ten) working days from the date of receipt of request of Fund the participant "Astana the Hub" provides copies of the state statistical reporting, tax declarations (calculations) for taxes, charges (duties) which payer he is, and also audit opinion about reliability of annual accounting (financial) accounts.

33. Participants "Astana the Hub" with annual earnings over 100 000 000 (hundred million) tenges annually, till July 1, book the audit confirming activities compliance to requirements of the List of priority types of activity in the field of ICT and structure of the income and represent audit opinion to Fund. The participant "Astana the Hub" at the request of Fund within 10 working days provides the audit report.

34. The participant "Astana the Hub" within 10 (ten) working days from the date of the state re-registration and liquidation of the legal entity notifies Fund on the corresponding event with submission of copies of supporting documents.

35. Information of technical, economic and commercial nature, provided by the participant or Fund in connection with activities of the corresponding participant, are confidential and is not subject to disclosure to the third parties without prior written consent of the participant or Fund.

Paragraph 4. Monitoring of activities and projects implementation of participants "Astana Hub"

36. The purpose of monitoring of projects implementation within programs of Fund is reflection of the actual project progress of the participant.

37. Monitoring of projects implementation includes accounting of the data represented by participants "Astana the Hub" as a part of the following information:

1) the quarterly report on the course of activities and projects implementation with the analysis of the achieved results;

2) the additional information requested by Fund within monitoring.

38. The participant provides in Fund necessary documents according to the received request within monitoring of activities and implementation of their project within 10 (ten) working days from the date of receipt of such request.

39. The participant submits in Fund the quarterly report on the activities performed by it, no later than 20 (twentieth) following reporting quarter in time. The accounting period for creation of quarterly reports is the calendar quarter. Form and content of the report are determined by the internal regulating document of Fund.

40. By results of monitoring and assessment of activities of participants "Astana the Hub" Fund prepares the conclusion about feasibility and inexpediency of further project implementation within participation in "Astana the Hub".

Upon completion of monitoring stage, the notification goes to the participant "Astana the Hub" in case of pronouncement of the conclusion about inexpediency of further project implementation.

41. The fund quarterly prepares to authorized body in the field of informatization analytical information on feasibility of projects implementation of participants following the results of the carried-out monitoring during calendar month after the accounting period.

Chapter 4. Procedure for involvement of nonresidents and residents of the Republic of Kazakhstan for participation in Fonda and procedure for rendering services of Fund and determination of their cost

42. Involvement of residents is performed without restrictions. In case of involvement of nonresidents the participant by provision of quarterly reports specifies the following data about involved foreigners and stateless persons:

surname, name, middle name (in case of its availability), including Latin letters;

birth date;

nationality (country of permanent residence);

number, date and body of issue of the passport (identity document);

the term of expected stay (month, year) in the territory of the Republic of Kazakhstan;

data on qualification;

data on prolongation of effective period of the visa (in the presence);

the stay purpose on the territory of the Republic of Kazakhstan;

information about members of the family of nonresidents, the containing following:

surname, name, middle name (in case of its availability), including Latin letters;

birth date;

surname, name, middle name (in case of its availability), including Latin letters, person involved by Fund which members of the family they are;

degree of relationship and data on the documents confirming relationship (the marriage certficate, about the birth or other documents confirming data on relationship);

number, date and body of issue of the passport (identity document);

data on prolongation of effective period of the visa (in the presence);

the stay purpose on the territory of the Republic of Kazakhstan.

43. The fund within function for involvement of residents and nonresidents of the Republic of Kazakhstan for participation in Fonda renders the services provided by internal regulating documents of Fund, to participants "Astana the Hub" and also to physical persons and legal entities (further - the Receiver of services), not being participants "Astana the Hub" according to acts of Fund.

44. Acceleration provides the development program of projects of participants of innovative cluster where to participants of programs educational rates, training from trackers (mentors) are available, to consultation of experts.

Technological business incubation provides the program of support of projects of participants of innovative cluster at the initial stage of their functioning which includes services in provision of rooms, the equipment (in case of availability of such places in Fund), to provision of consultations on accounting and legal issues, and also on support in investment attraction and other information services.

45. The fund renders the consultations concerning holding marketing and other efforts connected with assessment of product competitiveness and its promotion on the market.

46. Within services in holding educational actions the Fund involves domestic and foreign trainers, teachers, experts.

47. For receipt of the services Receiver of Services sends to Fund the electronic statement to the receipt of services (further - the application form) which is filled in on Internet resource of Fund before the expiration of reception of applications.

48. The following data are enclosed to the electronic application on receipt of services:

1) the name of the project, the direction of the project, the short project description with the expected project deliverables;

2) contact information of the applicant:

phone number;

e-mail address;

city and country;

3) stage of readiness of the project (product), the applied technologies, problem which is solved by product, project business model, term of existence of the project (on the corresponding service);

4) number of project participants, team involvement into the project (corresponding service);

5) the reference to the project presentation (on the corresponding service).

49. The statement and data attached to it move on Kazakh or Russian, or in English languages. By provision of documents in English the Fund provides their transfer on Kazakh or Russian.

50. The applicant provides completeness and reliability of the submitted documents, basic data, calculations, reasons containing in the statement.

51. The fund considers the application regarding compliance to Item 48 of these rules and makes the decision on the conclusion of the service provision agreement or refuses the conclusion of such agreement. The procedure of consideration and decision making for statements is regulated by acts of Fund.

52. In case of discrepancy of the documents enclosed to the application to Item 48 of these rules, the Fund sends to the applicant the notification with indication of notes.

53. The bases for refusal in the conclusion of the agreement are discrepancy of the documents enclosed to the application to Item 48 of these rules, not elimination of notes discrepancy of the applicant to conditions for the conclusion of the agreement.

54. The refusal in the conclusion of the agreement does not interfere with the repeated address of the applicant on condition of elimination of the reasons which formed the basis for refusal in conclusion of the agreement.

55. Conditions for the conclusion of the agreement, are placed on Internet resource of Fund no later than 1 (one) month before start date of reception of applications. The draft agreement concluded with the Receiver of services contains conditions of rendering services by Fund, and also procedure and the amount of payment by the Receiver of services to Fund.

56. The cost of service of Fund is determined by the regulating documents of Fund developed and approved by Fund.

Depending on specifics of the rendered services by Fund the third parties which cost of services is determined on the basis of commercial price offers can be attracted.

Chapter 5. Procedure for provision of the dwelling and creation of conditions for persons undergoing acceleration in Fund

57. The fund provides to participants of condition for implementation of projects of participants of innovative cluster according to these rules.

58. The fund, in the presence of the room, provides to the participant in temporary use the room of administrative, production, auxiliary assignment, necessary for project implementation. Conditions of provision of the room are determined by the relevant agreement signed with the participant "Astana the Hub".

59. The fund in the presence provides housing or creates conditions for accommodation to the persons which are undergoing acceleration in Fund (further - persons), not having housing in the settlement determined for implementation of the appropriate akseleratsionny program.

60. Persons, move into to the provided housing based on the signed contract with Fund and ensure safety of housing and common property according to the housing legislation of the Republic of Kazakhstan.

61. Persons excluded from acceleration passing exempt and transfer Fonda housing within 2 (two) working days under the delivery-acceptance certificate.

62. In the presence of the exempted housing the Fund transfers it to other persons specified in Item 59 of these rules.

Chapter 6. Procedure for holding educational actions for the organization of training of qualified personnel in the field of ICT

63. Fund Astana the Hub" performs services in holding educational actions for the organization of training of qualified personnel in the field of ICT according to subitems 5-3) and 5-10) of article 8-1 of the Law of the Republic of Kazakhstan "About innovative cluster ".

64. The fund announces the beginning and the end of reception of applications on participation in training of physical persons in the field of ICT from applicants, in mass media and by means of Internet resource of Fund.

65. The applicant directs the application on participation in training of physical persons in the field of ICT electronically on Internet resource of Fund with attachment of the following documents:

1) the syllabuses of rates approved by the first head of the applicant (the containing names of rates and their detailed description: the training plan on weeks and class periods, duration, selection criteria of students and cost of rate);

2) the document confirming the creation of the franchize, sale of the franchize between the franchiser and franchisees registered according to the legislation of the Republic of Kazakhstan (in the presence);

3) the document confirming the rights to use foreign methodology of training (in the presence);

4) the document on transfer by the owner of exclusive rights on rate to the applicant (in the presence);

5) the document confirming training, employment of graduates in the companies in the field of ICT (in the presence);

6) the document confirming right of possession, uses, orders with the room, suitable for training in the territory of the Republic of Kazakhstan (in the presence).

66. The statement in the field of ICT and the documents attached to it go for participation in training of physical persons on state or Russian, or in English languages. By provision of documents in English the Fund provides their transfer on state or Russian.

67. The applicant provides completeness and reliability of the submitted documents, basic data, calculations, reasons containing in the statement on participation in training of physical persons in the field of ICT.

68. The fund within 10 (ten) working days from the date of the direction considers applications on participation in training of physical persons in the field of ICT it on completeness of data.

The fund refuses to the applicant, in case of:

1) the availability of tax debt and debt on pension, professional pension contributions and social assignments in the amount of exceeding the sixfold monthly settlement indicator established for the corresponding financial year by the law on the republican budget;

2) factual determination of representation of unreliable information;

3) factual determination that the applicant is subject to insolvency proceeding or liquidation;

4) factual determination of accounting in registers of unfair participants of purchases;

5) factual determination of accounting in the Unified register of debtors placed on official Internet resource of authorized body according to article 36 of the Law of the Republic of Kazakhstan "About enforcement proceeding and the status of legal executives";

6) durations of rates in the field of ICT less than six months;

7) lack of detailed plan of training in rates in the field of ICT;

8) lack of Internet resource with information on the participant "Astana the Hub".

69. By provision of the complete data containing in the statement on participation in training of physical persons in the field of ICT, the Fund sends it for consideration of the independent commission on candidate screen (further - the Independent commission) determined by Fund. The independent commission consists of representatives of Fund, state bodies and (or) specialists in the field of ICT and education with the corresponding qualification, and also in structure of the independent commission the international experts are attracted.

70. By provision of the incomplete data containing in the statement on participation in training of physical persons in the field of ICT the Fund no later than 10 (ten) working days from the date of the direction directs applications on participation in training of physical persons in the field of ICT to the applicant the notification, with indication of notes.

71. Elimination of notes is performed by the applicant in time no later than 10 (ten) working days from the date of their obtaining.

72. The fund from the moment of elimination of notes directs the application on participation in training of physical persons in the field of ICT for consideration of the Independent commission.

The independent commission hears the presentations of applicants and makes the decision by vote on the admission to participation in training of physical persons and quantity of quotas or on refusal in participation.

73. The fund determines and the settlement mechanism of determination takes up quantities of quotas to participants "Astana the Hub" for training of physical persons in the field of ICT for further review by the Independent commission.

74. The fund sends to the applicant the decision of the Independent commission on the admission to participation in training of physical persons or motivated refusal within 5 (five) working days from the date of adoption of such decision on the contacts specified in the statement for participation in training of physical persons in the field of ICT.

75. In case of the positive decision of the Independent commission following the results of consideration of the application on participation in training of physical persons in the field of ICT, the Fund within 10 (ten) working days signs the contribution agreement in training of physical persons in the field of ICT determined by Fund with the applicant.

76. The list of the physical persons applying for training in the field of ICT is determined by the applicant independently. The applicant provides carrying out training of physical persons.

77. The procedure for reception of applications on participation in training of the physical persons in the field of ICT from the technological companies who are participants "Astana the Hub" and criteria of their selection for participation in training of physical persons in the field of ICT is determined by internal documents of Fund.
