About features of acquisition by finance company of the status of payment organization without stopping activities for provision of financial payment services

According to Articles 7, of 15, 55-1, 56 of the Law of Ukraine "About the National Bank of Ukraine", Articles 13, of 21, of 22, 29 Laws of Ukraine "About financial services and finance companies", articles 10-12 of the Law of Ukraine "About payment services", for the purpose of determination of features of procedure for acquisition by the finance company having the right to provide financial payment services of the status of payment organization without stopping the Board of the National Bank of Ukraine decides (interruptions) of activities for provision of financial payment services:

1. The finance company having the license for activities of the finance company including financial payment services on money transfer without opening of the account and/or on implementation of acquiring of payment instruments (further - finance company), has the right to acquire the status of payment organization with the right of provision of financial payment services on money transfer without opening of the account and/or on implementation of acquiring of payment instruments without stopping (interruption) of activities for provision of financial payment services according to the procedure, determined by this resolution.

2. The finance company having the license for activities of the finance company including financial payment services on money transfer without opening of the account, in which activities:

1) is the signs of provision of financial payment service on implementation of acquiring of payment instruments determined by the conditions specified in Item 39 of the Section III of Provisions on procedure for issue and the acquiring of payment instruments approved by the resolution of Board of the National Bank of Ukraine of July 29, 2022 No. 164 (with changes) (further - Regulations on procedure for issue and acquiring of payment instruments) and which:

it intends to provide financial payment service on implementation of acquiring of payment instruments, - has the right to acquire the status of payment organization according to the procedure, determined by this resolution, in case of the appeal to the National Bank of Ukraine (further - National Bank) in the terms determined by the resolution of Board of the National Bank of Ukraine of August 28, 2025 No. 103 "About the single questions connected with determination of signs of acquiring of payment instruments" (further - the regulatory legal act of National Bank about the single questions connected with determination of signs of acquiring of payment instruments), by filing of application (with indication of about intention of acquisition of the status of payment organization with the right of provision of financial payment service on implementation of acquiring of payment instruments) and the documents determined in Item 5 of this resolution;

it does not intend to provide financial payment service on implementation of acquiring of payment instruments, - for acquisition of the status of payment organization instead of the information reference concerning conditions and procedure for provision of financial payment services determined in the subitem 6 of Item 5 of this resolution gives to National Bank of assurance that the data provided in the information reference approved by National Bank submitted according to requirements of the regulatory legal act of National Bank about the single questions connected with determination of signs of acquiring of payment instruments are left without changes;

2) there are no signs of provision of financial payment service on implementation of acquiring of the payment instruments determined by the conditions specified in Item 39 of the Section III of Provisions on procedure for issue and acquiring of payment instruments - for acquisition of the status of payment organization instead of the information certificate of conditions and procedure for provision of financial payment services determined in the subitem 6 of Item 5 of this resolution gives to National Bank of assurance that the data provided in the information reference approved by National Bank submitted according to requirements of the regulatory legal act of National Bank about the single questions connected with determination of signs of acquiring of payment instruments are left without changes.

3. The finance company has the right to acquire the status of payment organization without stopping (interruption) of activities for provision of financial payment services with the provision right only of those financial payment services which were included in the license for activities of finance company at the time of the appeal to National Bank for acquisition of the corresponding status, taking into account features of submission to National Bank of documents on implementation by finance company of acquiring of the payment instruments determined in the paragraph the second the subitem 1 of Item 2 of this resolution.

4. The finance company for receipt of the status of payment organization shall conform to the requirements established in Item 55 of the Section V of the Regulations on procedure of authorization of activities of suppliers of financial payment services and limited payment services approved by the resolution of Board of the National Bank of Ukraine of October 07, 2022 No. 217 (with changes) (further - Regulations on authorization of payment service providers).

5. The finance company for acquisition of the status of payment organization files the following documents to National Bank:

1) application for licensing for the provision of financial payment services issued in the form given in appendix 1 to this resolution;

2) the copy of the decision of general meeting of participants (shareholders) on the termination of activities for provision of financial services, except activities for provision of financial payment services and activities for implementation of currency transactions (in case of availability of the right to implementation of the related activity) (moves the finance companies having the license for activities of the finance company including financial payment services on money transfer without opening of the account and/or on implementation of acquiring of payment instruments and other financial services);

3) the questionnaire of the legal entity which is drawn up in the form given in appendix 3 to the Regulations on authorization of payment service providers;
