About approval of the Regulations on criteria by which the importance of finance company is determined

According to Articles 7, of 15, 55-1, 56  of the Law of Ukraine "About the National Bank of Ukraine", Articles 21, of 23, of 24, of 41 Law of Ukraine "About financial services and finance companies", for the purpose of establishment of criteria by which the importance of finance companies, state regulation and supervision of which activities is exercised by the National Bank of Ukraine, is determined the board of the National Bank of Ukraine decides:

1. Approve Regulations on criteria by which the importance of finance company which is applied is determined.

2. To department of methodology of regulation of activities of non-bank financial institutions (Sergey Savchuk) after official publication to inform finance companies information on adoption of this resolution.

3. The resolution becomes effective since September 1, 2025.

Regulations on criteria by which the importance of finance company is determined

1. This Provision is developed according to the laws of Ukraine "About the National Bank of Ukraine" (further - the Law on National Bank), "About financial services and finance companies" (further - the Financial services act).

2. Terms in this Provision are used in such value:

1) significant finance company - finance company which the National Bank of Ukraine (further - National Bank) determined significant based on criteria by which the importance of finance company, established in this Provision is determined (further - criteria);

2) the head on supervision - the head of the structural unit of the National Bank responsible for implementation of permanent supervision in the market of non-bank financial services, his deputy, the division manager as a part of the specified structural division of National Bank, his deputy or persons who are carrying out them obligations;

3) authorized person of National Bank - The chairman of National Bank, the First Deputy Chairman of National Bank, the vice-chairman of National Bank, the head on supervision.

Other terms used in this Provision are used in the values determined by the Law on National Bank, the Financial services act.

3. This Provision establishes criteria based on which the National Bank determines finance company, state regulation and supervision for which activities exercises National Bank (further - finance company), significant, except Fund of partial guaranteeing the credits of agricultural industry.

4. The National Bank determines finance company significant if such finance company corresponds at least to one of criteria by which the importance of finance company, established in appendix to this Provision is determined.

5. The National Bank annually till December 31 carries out assessment of conformity of finance company to criteria (further - assessment) based on the reporting of the finance company kept and provided to National Bank for the last quarter of previous year and 9 months of the current year (for the entire period of activities preceding date of assessment if the finance company began activities after the beginning of year).

6. The finance company shall provide upon the demand of National Bank all information and documents necessary for determination of finance company by National Bank significant.

7. The decision on determination of finance company significant is made by Board of National Bank based on assessment of conformity of finance company to criteria.

8. The finance company is determined by National Bank significant to the following assessment.

9. The National Bank annually till February 01 of the year following after year in which assessment was carried out sends the letter to finance company which was determined by National Bank significant, with information of rather made decision on determination of finance company by National Bank significant behind the authorized signature of National Bank.

10. The National Bank annually till February 01 of the year following after year in which assessment was carried out will promulgate the list of finance companies which were determined by National Bank significant, on the page of official Internet representative office of National Bank.

11. The finance company acquires/loses the status significant from the date of promulgation of the list of finance companies by National Bank which were determined by National Bank significant.

12. The finance company shall during the period from the date of promulgation of the list of finance companies by National Bank which were determined by National Bank significant, till July 01 of year in which the National Bank promulgated information on determination of finance company significant, to bring the activities into accord with the requirements established to significant finance companies by the Regulations on requirements to corporate management system and internal control system of finance company approved by the resolution of Board of the National Bank of Ukraine of December 27, 2024 No. 185 (with changes) (further - No. Provision 185), and the Regulations on authorization of suppliers of financial services and conditions of implementation by them of activities for provision of financial services approved by the resolution of Board of the National Bank of Ukraine of December 29, 2023 No. 199 (with changes) (further - No. Provision 199).

13. The significant finance company shall conform to the requirements of rather significant finance companies established by the Provision No. 185 and the Provision No. 199, since July 01 year in which the National Bank promulgated the list of significant finance companies, and before the termination of calendar year in which the finance company lost the status of significant.
