About approval of the Regulations on procedure of authorization of activities of suppliers of non-financial payment services and approval of Changes in Regulations on registration of payment service providers, members of payment service providers and technological operators of payment services

According to Articles 7, of 15, 56 Laws of Ukraine "About the National Bank of Ukraine", Articles 6, of 10, of 12, of 53, of 78, "About payment services", for the purpose of further implementation of provisions of the Directive of the European parliament and Council (EU) 2015/2366 of November 25, 2015 about payment services in the domestic market, about modification of Directives 2002/65/EC, 2009/110/EC and 2013/36/EC and Regulations (EU) No. 1093/2010 and about cancellation of the Directive 2007/64/EU (with changes) regarding determination of procedure for authorization of activities of suppliers of non-financial payment services the Board of the National Bank of Ukraine decides 79 Laws of Ukraine:

1. Approve:

1) Regulations on procedure of authorization of activities of suppliers of non-financial payment services (further - the Provision) which are applied;

2) the change in Regulations on registration of payment service providers, members of payment service providers and technological operators of payment services approved by the resolution of Board of the National Bank of Ukraine of September 26, 2022 No. 208 (with the enclosed changes).

2. Applicants who address to the National Bank of Ukraine within the procedures determined by the Provision before approval by the National Bank of Ukraine of rates for the services determined by the Provision, the copy of the payment document confirming implementation of payment for service (further - the copy of the document) do not give. Non-presentation of the copy of the document before approval by the National Bank of Ukraine of rates for services is not the basis for leaving of the statement provided by the Provision without movement.

3. To impose control over the implementation of this resolution on the vice-chairman of the National Bank of Ukraine Alexey Shaban.

4. The resolution becomes effective since August 1, 2025.

Regulations on procedure of authorization of activities of suppliers of non-financial payment services

I. General provisions

1. This Provision is developed according to the laws of Ukraine "About the National Bank of Ukraine", "About payment services" (further - the Law on payment services), "About ministerial procedure" (further - the Administrative procedure act), other laws of Ukraine and taking into account the European legislation of rather payment services in the domestic market concerning provision of information for implementation of authorization of activities of suppliers of non-financial payment services and determines:

1) conditions and procedure of authorization of activities of the supplier of non-financial payment services by inclusion of information about him in the Register of payment infrastructure (further - the Register);

2) features of implementation of authorization of activities of banks, payment organizations, organizations of electronic money, and also branches of foreign payment organizations and branches of foreign organizations of electronic money (further - branches of foreign payment organizations) as suppliers of non-financial payment services;

3) the notification procedure of the National Bank of Ukraine (further - National Bank) predostavitel of non-financial payment services about involvement of the technological operator of payment services (further - the technological operator), third (legal) party [further - third person] to accomplishment of important operational function(s) and about essential changes in conditions of involvement of the third parties;

4) general terms of implementation of activities for provision of non-financial payment services;

5) procedure for the termination of authorization of activities for provision of non-financial payment services.

2. Terms in the present the Provision are used in such value:

1) activities authorization - the procedure of the admission determined by the Law on payment services and this Provision to implementation of activities for provision of non-financial payment services performed by way of inclusion in the Register of data on predostavitel of non-financial payment services;

2) the insurance contract of responsibility of the supplier of non-financial payment services - the insurance contract of responsibility of the supplier of non-financial payment services (except banks) before users and payment service providers on servicing of accounts conforming to requirements of the Regulations on procedure for the liability insurance of suppliers of non-financial payment services before users and payment service providers on servicing of accounts approved by the resolution of Board of the National Bank of Ukraine of July 02, 2025 No. 71;

3) the applicant - the legal entity who independently or by proxy the representative addresses to National Bank in the procedure established by this Provision for implementation of the procedures determined in this Provision;

4) essential participation - the direct and/or mediated ownership of one person independently or together with other persons 10 and more percent of the authorized capital and/or voting power, shares, shares, shares of the legal entity or possibility of considerable influence, independent of formal ownership, and/or decisive influence (control) on management or activities of the legal entity;

5) qualified bureau of credit histories - for the persons who are constantly living in Ukraine or having the main office registered in Ukraine, this First All-Ukrainian bureau of credit histories, the Ukrainian bureau of credit histories and the International bureau of credit histories; for other persons - most of all by quantity of the credit stories of bureau of credit histories which are available in the respective country (other subject which functions treat collection processing, storage and use of information constituting credit history) which extends the activities to the country in which physical person constantly lives / the main office of the legal entity is registered;

6) the head (i) - sole executive body or members of collegiate executive body and members of the supervisory board of the applicant or the supplier of non-financial payment services (except bank);

7) the head on licensing - the head of the structural unit of the National Bank responsible for authorization of activities of participants of the payment market, his deputy, the division manager as a part of the specified structural division of National Bank, his deputy or persons who are carrying out them obligations;

8) conflict of interest - the available and/or potential contradictions between private interests and job responsibilities of person which can influence fair accomplishment of the powers by it, objectivity and impartiality of decision making and/or making or non-execution of actions by such person in case of execution of the obligations by it;

9) key person - the risk manager, the actionee of function on management of operational risk and risk of safety, and/or person responsible for ensuring information security, cyberprotection and information security of the non-bank supplier of non-financial payment services to which accomplishment of functions of the risk manager is assigned;

10) the supplier of non-financial payment services - the payment service provider on initiation of payment transaction and/or the payment service provider on provision of data from accounts;

11) non-financial payment service - service in initiation of payment transaction and/or service in provision of data from accounts;
