About approval of the Regulations on release and state registration of bonds of the international financial institutions expressed in national currency

According to the Presidential decree of the Republic of Uzbekistan of February 21, 2025 I order to No. UP-26 "About Additional Measures for Further Market Development of Housing and Mortgage":

1. Approve Regulations on release and state registration of bonds of the international financial institutions expressed in national currency according to appendix.

2. This order is approved with the Central bank of the Republic of Uzbekistan.

3. This order becomes effective from the date of its official publication.

Regulations on release and state registration of bonds of the international financial institutions expressed in national currency

This Provision determines procedure for state registration of bond issue of the international financial institutions expressed in national currency of the Republic of Uzbekistan in the simplified procedure by registration and their placement and the address in the territory of the Republic of Uzbekistan.

Chapter 1. General provisions

1. In this Provision the following basic concepts are used:

the international financial institutions (further - MFI) - the organizations created on the basis of interstate (international) agreements in the field of the international finance;

bonds of MFI - the bonds issued by MFI in the territory of the Republic of Uzbekistan in national currency of the Republic of Uzbekistan in paperless form for the purpose of attraction of financial resources for financing of projects and programs in the Republic of Uzbekistan;

the issuer - MFI which are issuing bonds of MFI and having obligations on them to bondholders of MFI.

2. For the purpose of realization of the procedure established by this Provision, the National agency of perspective projects of the Republic of Uzbekistan (further - authorized state body) the list of the international financial institutions determines.

Chapter 2. State registration of bond issue of MFI by registration

3. The decision of MFI on bond issue, the program of bonds of MFI (further - the program of bonds), the prospectus of the issue or other documents, and also other documents connected with bond issue of MFI replacing them are accepted and drawn up according to internal regulations and requirements of the issuer.

4. State registration of bond issue (the program of bonds) by MFI is performed by bond issue registration (the program of bonds) of MFI in the Unified state register of releases of issued securities (further - EGR) based on the statement for registration of bond issue of MFI (the program of bonds) (further - the statement) represented by the issuer to authorized state body.

The bonds of MFI released within registered by authorized state body programs of bonds, are not subject to repeated state registration.

5. Within the program of bonds at least in five working days prior to bond issue of MFI by the issuer the notification goes to authorized state body with indication of parameters of release and the state registration turn of the programme of bonds.

At the same time bonds of MFI shall be issued according to the notification sent by the issuer to authorized state body.

6. For state registration of bond issue (the program of bonds) of MFI, the issuer shall submit the following documents to authorized state body:

a) The statement in which the following data shall be specified:

name of the issuer;

legal address of the issuer;

quantity and types of bonds of MFI;

nominal value of one bond of MFI;

total amount of release;

sequence number of bond issue of MFI;

information about the responsible of the issuer and his contact information;

b) the questionnaire on registration of bond issue of MFI in form according to appendix to this Provision in which the following data shall be specified:

release parameters;

procedure for income acquisition on bonds of MFI;

procedure for placement of bonds of MFI;

procedure for the circulation of bonds of MFI;

procedure for bond redemption of MFI;

c) the copy of the decision on bond issue of MFI, the program of bonds, the prospectus of the issue (in case of public placement of securities) or other documents replacing them;

d) the copy of the payment document about payment of collection for state registration of bond issue of MFI (the program of bonds);

e) the copy of the depositary agreement signed with Central Securities Depository;

7. The issuer can submit in authorized state body the application, the questionnaire and the copy of the decision on bond issue of MFI (the program of bonds), the prospectus of the issue (in case of public placement of securities) or other documents replacing them in English with the translation into official language certified in accordance with the established procedure or the translation into Russian.

8. The issuer submits documents for state registration to authorized state body in written (in triplicate) or electronic form, including by the direction from the postal address of the issuer on the e-mail address of authorized state body.

Information provided electronically shall be in the formats "DOC", "DOCX", "XLS", "XLSX", "PDF".

9. In case of submission by the issuer to authorized state body of the documents provided for state registration by means of the electronic medium, the responsible of authorized state body signs the copy of the application of the issuer with indication of surname, name and the employee's middle name, and also date of acceptance confirming receipt of documents.

10. In case of submission by the issuer to authorized state body of the documents provided for state registration by e-mail, the heading of these documents shall be called "The statement on state registration of bond issue of MFI".

At the same time, date of their revenues to the e-mail address of authorized state body is considered acceptance date of the documents provided by the issuer for state registration in authorized state body.
