About entering of amendments and changes into the Law of the Republic of Armenia "About joint-stock companies"

Article 1. ZR-232 of September 25, 2001 "About joint-stock companies" (further – the Law) to add article 1 of the Law of the Republic of Armenia with part 7 of the following content:
"7. In this Law the following basic concepts are used:
1) the shareholder nominee - the competent shareholder nominee specified regarding 1 article 197 of the Law of the Republic of Armenia "About the security market". If other is not provided in this Law, concept the shareholder nominee includes concepts the Armenian shareholder nominee and foreign shareholders nominees,
2) the Armenian shareholder nominee - the Armenian holder (shareholder nominee) specified regarding 3rd article 197 of the Law of the Republic of Armenia "About the security market"
3) the foreign shareholder nominee - the foreign holder (shareholder nominee) specified regarding 3rd article 197 of the Law of the Republic of Armenia "About the security market"
4) реестровед – person performing maintaining the shareholder register of the company (shareholders nominees) according to article 51 of this Law.".
Article 2. From Article 15 and part 12 of article 68 of the Law to remove all words of "shareholders nominees".
Article 3. In article 51 of the Law:
The word of part 1 of "Companies" shall be replaced with words 1) "Except for the case provided by this Article – the companies",
To add 2) with part 5 of the following content:
"Maintaining the register of own shares by the Central depositary is not considered violation of requirements of this Article.".
