About modification and amendments in the Law of the Republic of Armenia "About limited liability companies"

Article 1. Item 6 of article 3 of the Law of the Republic of Armenia "About limited liability companies" of October 24, 2001, ZR-252 (further - the Law) to state in the following edition:

"6. Society can have round stamp. The seal shall contain its trade name on Armenian, and also other details established by the law and the Government of the Republic of Armenia (further - the Government). The seal of society may contain also the name of society or trade name in foreign languages, and also the image or symbol of the trademark.".

Article 2. In articles 6 and 7 of the Law:

To exclude 1) from Items 1 of the word "and its charter", to add the same Items after words of "authorized body" with words "-general meeting of participants";

Items 1 to add 2) with the new offer of the following content: "The power of general meeting of members of society specified in this Item can be transferred by the charter of society to the decision of council of society.".

Article 3. In article 8 of the Law:

Item 2 to state 1) in the following edition:

"2. Creation of society is performed by the decision of the founder (founders).";

The word "(participant)" to exclude 2) from the offer of the second Item 3;

To add 3) with Item 6 of the following content:
