About modification of the Join-stock companies law No. 1134/1997 (the aspects concerning application of policy of remuneration of officials of society)
The Parliament adopts this organic law.
This law:
- partially shifts Item 6 of the Section IV "Remuneration in the form of shares" and Item 7 of the Section V "Information and final provisions" of the Recommendation of the Commission 2004/913/EC of December 14, 2004 about assistance to establishment of the proper mode of directors' emolument of the companies which shares are admitted to organized trading, published in the Official magazine of the European Union by L 385/55 of December 29, 2004, CELEX: 32004H0913;
- partially shifts Item 1.1 of the Section I "Scope and determinations" and Item 5 of the Section II "Presence and role of directors without executive functions or directors with supervising functions in (supervisory) councils" of the Recommendation of the Commission 2005/162/EC of February 15, 2005 about role of directors without executive powers or directors with supervising powers of the companies which shares are admitted to organized trading, and about committees (supervisory) council, published in the Official magazine of the European Union by L 52/51 of February 25, 2005, CELEX: 32005H0162;
- shifts part (5) articles 9a of the Directive of the European parliament and Council 2007/36/EC of July 11, 2007 about implementation of certain shareholder rights in the companies which shares are admitted to organized trading, published in the Official magazine of the European Union by L 184 of July 14, 2007, CELEX: 32007L0036, with the last changes made by the Directive of the European parliament and Council (EU) 2023/2864 of December 13, 2023.
Art. I. - In the Join-stock companies law No. 1134/1997 (repeated publication: The official monitor of the Republic of Moldova, 2020, Art. No. 372-382, 341), with subsequent changes to make the following changes:
