About modification of some regulations

The Parliament adopts this organic law.

Art. I. - In the Law on limited liability companies No. 135/2007 (Official monitor of the Republic of Moldova, 2007, Art. No. 127-130, 548), with subsequent changes, to make the following changes:

1. Part (Article 13 to add 1) with the Item f-1) of the following content:

"f-1) of feature of bond issue;".

2. Part (Article 40 to add 1) with Item c) the following content:

"c) if receivable payment obligations to bondholders were not fulfilled.".

3. Add the law with Article 40-1 of the following content:

"Article 40-1. Bonds

(1) Society according to the decision of general meeting of members of society or according to the decision of the single member of society and according to provisions of the charter of society can issue bonds for financing of the activities.

(2) Issue, placement, the address and bond redemption are performed according to this law, the Civil code, the Law on the capital market No. 171/2012, regulations of the National commission on the financial market and the charter of society.

(3) the Society which issued bonds during all circulation period of the issued bonds opens information according to articles 118-126 of the Law on the capital market No. 171/2012 by placement on the web page and/or publications in the national edition and upon the demand of any bondholder without delay provides access to documents/information.

(4) In departure from provisions of the Law on the capital market No. 171/2012 society has the right to issue only inconvertible bonds.".

4. In Article 49:

part (to add 1) with Item q) the following content:

"q) decision making about bond issue.";

part (to add 2) with the Item f-2) of the following content:

"f-2) approval of the report on bond issue results;".

5. Part (Article 76 to add 1) with words "either payment or nonpayment of the percent or other income connected with bonds in defiance of provisions of this law, charter of society or the decision on bond issue.".
