About modification of the Regulations on public offers on the acquisition approved by the Resolution NKFR No. 33/1/2015

Based on parts (2) - (4) Article 1 and part (9) article 20 of the Law on the capital market No. 171/2012 and part (6) Article 11 of the Join-stock companies law No. 1134/1997, the National commission on the DECIDES: financial market

1. In Regulations on public offers on the acquisition approved by the Resolution of the National commission on the financial market No. 33/1/2015 (The official monitor of the Republic of Moldova, 2015, No. 197-205, to the Art. 1346) registered in the Ministry of Justice at No. 1054 of 16:07. 2015, to make the following changes:

1) subitem 13) Item 48:

a) after the words "copy of permission" to add with the text "/preliminary approval";

b) "the legislation on financial institutions" to replace words with the word "bank law";

2) in Item 59, in the second offer of Item 63 and in Item 65 of the word "takeover offer" in any grammatical form shall be replaced with words "the voluntary takeover offer" in the corresponding grammatical form;

Item 60 to add 3) with the offer of the following content:

"If the offerer chooses to publish the notification in which it is specified where there is complete version of the prospectus it shall contain, at least, information, stipulated in Item 64, including data on the place and period of time when persons interested can study the prospectus of the takeover offer.";

Item 61 after the word "notifications" to add 4) with the words "about intention to perform the voluntary takeover offer";
