Agreement between the Government of Ukraine and Government of the Azerbaijan Republic on sci-tech cooperation

of March 24, 1997

Government of Ukraine and Government of the Azerbaijan Republic, further Parties,

sure is that the sci-tech cooperation is important component of all complex of the bilateral relations and recognizing need of interaction in the conditions of internationalization of research and development;

considering scientific and technical bonds between Ukraine and Azerbaijan that developed historically;

accepting in attention that such cooperation will promote consolidation of the bilateral relations between both countries and the people, and also will create premises for development of mutually advantageous trade and economic relations,

agreed about the following:

Article 1

The parties will scientifically help - to technical cooperation on the basis of the principles of equality and mutual advantage.

Article 2

The directions of bilateral sci-tech cooperation will be determined, proceeding from long-term interests of development of science and technology in both countries.

Article 3

The sci-tech cooperation of the Parties will be performed by the ministries, departments, academies of Sciences, research establishments, higher educational institutions, firms, the scientific organizations, societies, certain scientists and specialists of both states within their competence on the basis of direct agreements, agreements and contracts between them according to national legal systems.

The common directorship and coordination of cooperation will be performed by the Ministry of Ukraine for science and technologies and the State committee on science and technology of the Azerbaijan Republic. Direct agreements, agreements and contracts between the organizations which perform cooperation shall determine question of realization of cooperation, its economic and organizational conditions, namely:

the purposes and content of cooperation, task and the expected results, terms and conditions of their realization;

sources of financing of works which are performed in each of the states within cooperation, cross financial liabilities;

procedure for general use of scientific and technical objects, and also use of results of general researches and regulation of questions of distribution of the intellectual property rights which can be created as a result of cooperation;

procedure for permission of matters of argument and procedure for indemnification which can be put to partners with persons who take participation in realization of cooperation, during direct accomplishment of obligations by them within cooperation;

responsibility for accuracy of the information, quality of materials and the equipment which are transferred each other in process of cooperation.

Article 4

The cooperation within this Agreement can be performed in such forms taking into account the current legislation of the Parties:

implementation of general scientific and scientific and technical programs, projects on creation and development of high technologies;

forming of general research collectives, laboratories, and also innovative firms and organizations that provide development of new technologies;

scientific work in research establishments, higher education institutions, technoparks, archives, libraries and the museums, including general field surveys and expeditions;

exchange of scientific and scientific and technical information, documentation, literature and bibliographic editions;

holding general seminars, scientific conferences and working meetings;

exchange of scientists and specialists;

advanced training of scientists and specialists, organization of training;

implementation of mutual examination of scientific and scientific and technical projects and programs.

The cooperation can be performed also in other mutually agreed forms which provide implementation of this Agreement.

In case of the choice and determination of forms of support of specific general researches of the Party are guided only by interests of development of science and relevance of subject for economic and social progress of both countries.

Article 5

For the purpose of implementation of this Agreement of the Party will create the general Commission on sci-tech cooperation questions.

The Commission will develop for the organization of the activities and will approve Regulations of work.

Article 6

Considering importance of support of scientific research and developmental developments at world level, the Parties will pay special attention to ensuring access of the scientific both countries to the unique and latest experimental equipment, and also will cooperate in its development, production and acquisition.

Article 7

The parties will aim at creating favorable conditions stay in the territory of both countries of scientists and specialists, exchange scientific devices and the equipment, scientific and scientific and technical documentation in case of accomplishment of general researches and developments.

Article 8

The parties provide protection of the intellectual property rights which can be created as a result of cooperation within this Agreement, according to the legislation of each country.

Specific questions of protection of the intellectual property rights which are connected with patenting copyright, protection of industrial designs, and also question of use of these rights, possible financial calculations make a reservation agreements, agreements and contracts which are stipulated in Article 3 these Agreements.

Article 9

Conditions of business trip of scientists and specialists will be approved directly by the organizations of Ukraine and the Azerbaijan Republic which perform cooperation, on the basis of free standing agreements, agreements and contracts which are stipulated in Article 3 these Agreements.

Article 10

By agreement of the organizations which perform cooperation scientific, technical experts, public institutions and the organizations of the third countries or the international organizations can be invited in appropriate cases for participation in programs and projects which are implemented within this Agreement.

Article 11

When carrying out general researches and developments with use of data which are the state secret of one of the Parties or results of which can make fully or partially subject of the state secret, the Parties are guided by national legal systems.

Article 12

In the consent of the Parties to the Agreement changes and additions which are drawn up in the form of Protocols which become its integral part can be made and become effective according to the procedure, provided for the conclusion of this Agreement.
