About approval of the Order of registration of release of option certificates and the prospectus of their issue

According to Articles 28, 29, 35 Laws of Ukraine "About securities and the stock market", Articles 1, 3, Items 1, 3 parts two of Article 7, article 8 of the Law of Ukraine "About state regulation of the security market in Ukraine" the National commission on securities and the stock market RESHILA:

1. Approve the Order of registration of release of option certificates and the prospectus of their issue which is applied.

2. Declare invalid the decision of State commission on securities and the stock market of June 16, 2009 No. 572 "About approval of the Order of registration of release of option certificates and the prospectus of their issue", registered in the Ministry of Justice of Ukraine on September 29, 2009 at No. 916/16932 (with changes).

3. And corporate finances to provide to corporate management department submission of this decision on state registration in the Ministry of Justice of Ukraine.

4. This decision becomes effective from the date of its official publication.

5. To provide to department of information technologies promulgation of this decision on the official site of the National commission on securities and the stock market.

6. To provide to management of international cooperation and communications publication of this decision in the official printing publication of the National commission on securities and the stock market.

7. Control over the implementation of this decision to assign to the member of the National commission on securities and the stock market A. Gordiyenko.

Order of registration of release of option certificates and prospectus of their issue

I. General provisions

1. This Procedure establishes procedure of issue, the circulation of option certificates, registration in the National commission on securities and the stock market (further - the Commission) release of option certificates and the prospectus of their issue, changes to the prospectus of the issue of option certificates, the report on results of placement of option certificates, provisions of the Commission of the report on results of accomplishment of obligations on option certificates and cancellations of registration of release of these option certificates.

2. The terms used in this Procedure are used in the following values:

underlying asset - securities, other financial and/or commodity resources which are obligation fulfillment subject of option certificates;

release of option certificates - set of option certificates of one issuer which have one international identification number identical circulation period and term (period) of accomplishment and provide the identical rights of their owners to acquisition (sale) of underlying asset of such option certificates;

turnover of option certificates - transactions, the property rights to option certificates connected with transition is also right on underlying assets of option certificates, except for the agreements signed in case of placement of option certificates;

the option certificate - the standard document (security) certifying the right of its owner to acquisition at the issuer of the option certificate (the option certificate on acquisition) or for sale of the option certificate to the issuer (the option certificate for sale) underlying asset in time and on the conditions determined in the prospectus of the issue of these option certificates;

award - the price paid by the buyer of the option certificate to his seller for the acquired right to use by the option certificate;

kind of option certificates - set of all option certificates on purchase or for sale of one underlying asset

series of option certificates - set of option certificates of one release with the identical price, term (period) of accomplishment and underlying asset;

the term (period) of accomplishment - the term (period) during which the issuer fulfills obligations on option certificates;

effective period - the term during which the circulation of option certificates and term (period) of accomplishment by the issuer of obligations according to them is performed;

circulation period - the term during which there are transactions of the property rights to option certificates connected with transition and is right on underlying assets of option certificates, except for the agreements signed in case of placement of option certificates;
