About measures for the organization of activities of Uzpakhtasanoateksport holding company

In pursuance of the Presidential decree of the Republic of Uzbekistan of October 27, 2015 No. UP-4761 "About formation of Uzpakhtasanoateksport holding company and for the purpose of optimization of management system industry as single cotton complex, providing on this basis of the effective organization of activities for acceptance, conversion and export of cotton fiber:

1. Determine the main objectives and activities:

a) JSC Uzpakhtasanoat:

the organization of acceptance and conversion of cotton raw, development of cotton fiber, high-quality, competitive in the world market, as finished goods, and its timely shipment on cotton terminals, and also technical cotton seeds and their delivery to creameries;

ensuring strict and reliable accounting of amounts and quality of the cotton raw accepted from farms and the shipped finished cotton goods (cotton-fiber and cotton seeds), every possible reducing unproductive losses in case of cotton raw conversion;

ensuring compliance by the companies with cotton-processing industry of the established state standards and standard rates of exits of cotton fiber and cotton seeds, implementation of practical measures on improvement of quality of the issued cotton-fiber according to requirements of the world market;

control of preparation and providing hlopkoseyushchy farms with high-quality sowing seeds in strict accordance with the approved high-quality placement;

implementation of settlement for the purchased cotton raw and the shipped cotton products with suppliers and consumers according to the signed agreements and contracts;

rendering assistance to the cotton-processing companies in implementation of upgrade and technical retrofitting, implementation of the advanced equipment and technology, broad investment attraction, including foreign;

b) JSC Uzpakhtaeksport:

ensuring acceptance of the cotton fiber delivered by the cotton-processing companies on cotton terminals with implementation of its strict and reliable accounting and carrying out laboratory researches of quality characteristics of fiber;

the organization of the storage system of cotton fiber and other cotton products meeting the modern requirements, non-admission of lowering of their quality and losses;

system carrying out marketing researches of environment world and the regional cotton markets and development, proceeding from the tendencies developing on them, suggestions for improvement of system of sales of cotton fiber for export and to internal consumers;

the organization, proceeding from world market conjuncture, the conclusion of export delivery contracts of cotton fiber and ensuring their timely realization;

ensuring timely settlement for the exported cotton fiber with the companies - producers and processors of cotton fiber according to the signed agreements and contracts;

c) JSC Uzpakhtayog:

ensuring acceptance, strict accounting of technical cotton seeds, efficient control of their quality, observance by the companies of industry of the established regulations of exit of cotton oil, and also proper procedure in case of realization of the made products;

production organization of high-quality cotton oil and other fat-and-oil products for the most complete saturation of the domestic consumer market;

rendering assistance to creameries in implementation of upgrade and technical retrofitting, implementation of the advanced equipment and technology, broad investment attraction, including foreign.

2. Approve:

Organizational structure of Uzpakhtasanoateksport holding company according to appendix No. 1;

structure of executive office of Uzpakhtasanoateksport holding company with extreme number of managerial personnel in number of 70 units according to appendix No. 2;

structure of executive office of JSC Uzpakhtasanoat with extreme number of managerial personnel in number of 43 units, standard structure of its territorial branch with the rights of the legal entity and the list of the companies and organizations which are part of JSC Uzpakhtasanoat according to appendices No. No. 3, 3a and 3b;

structure of executive office of JSC Uzpakhtaeksport with extreme number of managerial personnel in number of 31 units, standard structure of the cotton terminal of JSC Uzpakhtaeksport according to appendices No. No. 4 and 4a;

structure of executive office of JSC Uzpakhtayog with extreme number of managerial personnel in number of 30 units and the list of the companies and organizations which are part of JSC Uzpakhtayog according to appendices No. No. 5 and 5a.

3. Determine that:

the chairman of the board of Uzpakhtasanoateksport holding company and his deputies, including the CEOs of JSC Uzpakhtasanoat, JSC Uzpakhtaeksport, JSC Uzpakhtayog, are elected by the supervisory board of the company, confirmed to the post by the Cabinet of Ministers of the Republic of Uzbekistan in coordination with the President of the Republic of Uzbekistan and equated according to the status respectively to the minister and deputy ministers;

deputy director generals of JSC Uzpakhtasanoat, JSC Uzpakhtaeksport, JSC Uzpakhtayog are elected at general meetings of shareholders of societies and confirmed to the post by the Cabinet of Ministers of the Republic of Uzbekistan;

JSC Uzpakhtasanoat is legal successor of Uzpakhtasanoat association and the territorial joint-stock associations "Pakhtasanoat";

JSC Uzpakhtaeksport is legal successor of foreign trade organizations of the Ministry of Foreign Economic Relations, Investments and Trades regarding realization of cotton fiber;

JSC Uzpakhtayog is legal successor of Association of the companies of the food industry for the obligations connected with repayment of the loans of United States Department of Agriculture attracted according to intergovernmental agreements for purchase of beans of soy.

4. Assign by the Republic of Karakalpakstan and areas the cotton-processing companies of JSC Uzpakhtasanoat as producers of finished goods (cotton fiber and cotton technical seeds), to cotton terminals of JSC Uzpakhtaeksport and creameries of JSC Uzpakhtayog taking into account associativity of capacities on cotton production - fiber and seeds, to one-time storage of cotton fiber on terminals, conversion and to production of cotton oil, according to appendix No. 6.

Prohibit the cotton-processing companies of JSC Uzpakhtasanoat supply of cotton fiber and cotton technical seeds as finished goods, to cotton terminals and creameries which are not fixed to them, except as specified, provided by decisions of the Cabinet of Ministers of the Republic of Uzbekistan.
