Based on the h. (2) and (3) Art. 27 of the Law No. 139-XVI of June 21, 2007. "About savings and loan associations" (The official monitor of the Republic of Moldova, 2007, No. 112-116, the Art. 506) the National commission on the DECIDES: financial market

1. Approve Regulations on issue of permission for state registration of savings and loan associations according to appendix.

2. Cancel the Resolution of the National commission on the financial market No. 15/11 of 17.04.2008 "About approval of the Regulations on issue of permission for state registration of savings and loan associations" (The official monitor of the Republic of Moldova, 2008, No. 154-156, the Art. 430).

3. This resolution becomes effective from the date of publication.

Regulations on issue of the conclusion for state registration of savings and loan associations

Chapter I. General provisions

1. The regulations on issue of the conclusion for state registration of savings and loan associations (further – the Provision) determine procedure for requesting, consideration and issue by the National commission on the financial market (further – the National commission) the conclusions for state registration of savings and loan associations, including the central associations (further – associations) in case of creation of associations, registration of the changes and/or additions made to the charter of licensed associations, or depending on charter case in the new edition, caused including opening/closing of branches/representations of data of associations, and also in case of exception of the State register of legal entities as a result of liquidation (further - the conclusion).

2. The conclusion is issued to association for representation to registering body together with document package, requested according to the legislation on state registration.

Chapter II. Statement for issue of the conclusion

3. The association shall receive the decision of the National commission in the following cases:

1) creation of association, including as a result of reorganization;

2) introduction of amendments to the charter or depending on case approval of the charter in the new edition, including as a result of reorganization, opening/closing of branches/representations, with change or without change of category of the license belonging to it;

3) exception of the State register of legal entities as a result of liquidation.

4. For receipt of the conclusion the association submits the National commission the application according to the sample established in appendix 1 or in appendix 2 to this Provision (further – the statement), depending on case. The association shall submit the application within 10 working days from the moment of decision making by competent authority. The application is signed by person, the representative to represent association in the course of state registration.

5. If the conclusion is requested based on the subitem 1) of Item 3 this provision, to the statement (appendix 1) are applied:

1) the draft of the charter of association signed by the chairman and the secretary of the constituent assembly;

2) the copy the protocol/minutes abstract of the constituent assembly of association signed by the chairman and the secretary of the constituent assembly to which are applied the copy of the list of members of founders with their signatures (for members of founders – legal entities is represented: name, surname and name of the representative and his position) and copy of the protocol of the commission on counting of votes;

3) the certificate on reservation of the name issued by registering body.

6. If the conclusion is requested based on the subitem 2) of Item 3 this provision, to the statement (appendix 2) are applied:

1) the project of the changes and/or additions made to the charter of licensed association or depending on case having been tired in the new edition certified by the signature of the chairman and secretary of general meeting, with imposing of seal;

2) the copy protocol/minutes abstract of general meeting of members on which the decision on modification and/or amendments in the charter of licensed association, or was made on approval of the charter in the new edition, certified by the signature of the chairman and secretary of general meeting, with imposing of seal to which are applied:

a) decision on convocation of general meeting of members;

b) confirmation of the notification of members of association on convocation of this general meeting;

c) the list of the members registered at meeting with their signatures (for members - legal entities it is represented: the name, surname and name of the representative, post, is also certified by seal associations), including the members provided based on the power of attorney (with application of copies of the respective mandates);

d) protocol of the commission on counting of votes.

7. In case of creation of branch and/or representation in addition to the documents specified in Item 6 of this provision to the statement (appendix 1 or appendix 2) are applied copies of the following documents:

1) the regulations on the organization and functioning of branch/representation approved by council of association;

2) the document on property, the agreement of property hiring / subhiring, free use or other document on use of the real estate or uninhabited rooms in which the branch/representative office of association will perform activities (including in case of change of the location of branch/representation);

3) decision of council of association on appointment of the managing director of branch/representation.

8. In addition to the documents specified in Item 5 and Item 6 of this provision, the association submits the following documents:

1) confirmation of publication in the Official monitor of the Republic of Moldova of the announcement of establishment/change of the location of association, branch/representation – if general meeting of members of association decides to establish/change the location of association, branch/representation;
