About approval of the Regulations on order of registration of release (releases) of shares under organization of joint-stock companies

According to Items 1, 3, 5 parts two of Article 7, Item 13 of article 8 of the Law of Ukraine "About state regulation of the security market in Ukraine", Articles 6, 28, 29, 32, 35 Laws of Ukraine "About securities and the stock market", Articles 9 - 13 Laws of Ukraine "About joint-stock companies" and other legal acts, for the purpose of reduction of regulatory legal acts of the National commission on securities and the stock market according to the legislation the National commission on securities and the stock market RESHILA:

1. Approve Regulations on order of registration of release (releases) of shares under organization of joint-stock companies (further - the Provision) which is applied.

2. Declare invalid the decision of State commission on securities and the stock market of December 30, 2009 No. 1639 "About approval of the Regulations on order of registration of release (releases) of shares under organization of joint-stock companies", registered in the Ministry of Justice of Ukraine on April 2, 2010 for No. 273/17568 (with changes).

3. And corporate finances (A. Papaik) to provide to corporate management department submission of this decision on state registration in the Ministry of Justice of Ukraine.

4. This decision becomes effective from the date of its official publication, except Item 35 of the Section I of the Provision which becomes effective along with entry into force of the Law of Ukraine of April 15, 2014 No. 1206-VII "About modification of some legal acts of Ukraine concerning simplification of procedure for opening of business".

5. To provide to management of information technologies, external and internal communications (A. Zaik):

promulgation of this decision on the official site of the National commission on securities and the stock market;

publication of this decision in the official printing publication of the National commission on securities and the stock market.

6. Control over the implementation of this decision to assign to the member of the National commission on securities and the stock market A. Amelin.

Regulations on order of registration of release (releases) of shares under organization of joint-stock companies

I. General provisions

1. This Provision establishes terms and order of registration (refusal in registration) the National commission on securities and the stock market (further - the Commission) release (releases) of shares during creation of public and private joint-stock companies, the report on results of private placement of shares, cancellations of registration of share issue in case of their non-stationing (refusal of their placement), the list of the documents necessary for registration of release (releases) of shares, the report on results of private placement of shares and the requirement to their registration, and also requirements to contents of the decision on share placing.

2. Action of this provision extends to public joint stock companies and private joint-stock companies (further - societies) which are created by organization, except institutes of joint investment.

Action of this Provision does not extend to cases of registration of release (releases) of shares of the societies created by merge, accession, separation, allocation and transformation of legal person (persons), and also societies which are created in the course of privatization and corporatisation.

3. During creation of society of its share are subject to private placement only among founders.

4. Creation of society is performed on the following stages:

1) holding meeting of founders on whom decisions are made about:

creations of society;

determination of authorized person (persons) of the founder (founders) (surname, name, middle name - for physical person, the name, the EGRPOU code, the location and phone numbers (fax) - for the legal entity) to which (which) powers are conferred to perform the actions connected with creation of society (in case of need);

private placement of shares;

coordination of conditions of the foundation agreement (in case of decision making about the conclusion of the foundation agreement).

In case of establishment of a joint-stock company by one person of the decision which shall be accepted by meeting of founders are accepted by this person solely;

2) the conclusion of the foundation agreement (in case of adoption by founders of the decision on the conclusion of the foundation agreement);

3) submission of the statement and all necessary documents for registration of release (releases) of shares to central office of the Commission;

4) registration of release (releases) of shares by the Commission and issue of the interim certificate (interim certificates) on registration of release (releases) of shares;

5) assignment to shares of international security identification number;

6) the conclusion with Central Securities Depository of the service agreement of issues of securities;

7) registration and deposition of the temporary global certificate in Central Securities Depository;

8) private placement of shares among founders of society;

9) payment by founders of complete share par value;

10) carrying out the constituent assembly on which decisions are made about:

foundation of society;
