About approval of the Procedure for promulgation by Central Securities Depository of information on results of the activities and structure of property

According to Item 38 parts two of Article 7, Item 13 of article 8 of the Law of Ukraine "About state regulation of the security market in Ukraine" and part eleven of Article 9 of the Section ІІ the Law of Ukraine "About depositary system of Ukraine", for the purpose of ensuring fulfillment of requirements of this Law concerning promulgation of results of the activities by Central Securities Depository and structure of property the National commission on securities and the stock market RESHILA:

1. Approve the Procedure for promulgation by Central Securities Depository of information on results of the activities and structure of property which is applied.

2. To provide to department of regulation of depository and settlement and clearing activity (I. Kurochkin) submission of this decision on state registration in the Ministry of Justice of Ukraine.

3. To provide to management of information technologies, external and internal communications (A. Zaik) publication of this decision according to the legislation.

4. This decision becomes effective from the date of the introduction in operation of the Law of Ukraine "About depositary system of Ukraine".

5. Control over the implementation of this decision to assign to the member of the commission O. Tarasenko.

Procedure for promulgation by Central Securities Depository of information on results of the activities and structure of property

1. This Procedure establishes procedure and terms of promulgation by Central Securities Depository (further - the Central depositary) results of the activities and structure of property.

2. The concept "structure of property", "depositary correspondent" and other terms of this Procedure are used in the values determined by the Law of Ukraine "About financial services and state regulation of the markets of financial services" and the Law of Ukraine "About depositary system of Ukraine".

3. The central depositary, except promulgation of information according to requirements of this Procedure, performs disclosure of information according to the procedure and terms, stipulated by the legislation for the legal entities created in the form of public joint stock company.

4. The central depositary will promulgate such information:

1) the quarter financial reporting as a part of balance (the report on financial condition) and the report on the financial results (comprehensive income statement) constituted according to requirements of the legislation;

2) the list of depositaries correspondents according to appendix 1;

3) the list of securities of foreign issuers which are served by the Central depositary, according to appendix 2;

4) the number of the constituted registers of owners of personalized securities, the number of accounts in securities of clients and the number of global certificates / temporary global certificates which are stored in the Central depositary, according to appendix 3;

5) structure of property of the Central depositary according to appendix 4;

6) annual statement of the Central depositary.

5. Except obligatory information, the Central depositary can promulgate any other information on the activities.

6. The central depositary will promulgate:

information specified in the subitem 1 of item 4 of this Procedure to the 25th following reporting quarter;

information specified in subitems 2 - the 5th item 4 of this Procedure, within 10 working days from the date of the termination of reporting quarter;

information specified in the subitem 6 of item 4 of this Procedure not later than April 30 of the year following reporting.

7. Information will be promulgated according to requirements of this Procedure by its placement on the official website of the Central depositary on the Internet.

8. The central depositary shall provide open entry to acquaintance with information provided by this Procedure for promulgation, to all interested persons.

9. The central depositary annually reports on results of the activities at meeting of the National commission on securities and the stock market (further - the Commission).

The central depositary after approval of the annual statement of the Central depositary by general meeting of shareholders of the Central depositary gives the Commissions for consideration on commission session written information concerning results of activities of the Central depositary for previous year.

The commission considers information provided by the Central depositary at the meeting and takes it into consideration.

10. The state control of compliance of procedure and terms of promulgation of information by the Central depositary to requirements of this Procedure is performed by the Commission.
