About measures for implementation of the Presidential decree of the Republic of Kazakhstan of May 22, 2013 No. 571 "About some measures for optimization of management system by institutes of development, the financial organizations and developments of national economy"

For the purpose of implementation of the Presidential decree of the Republic of Kazakhstan of May 22, 2013 No. 571 "About some measures for optimization of management system by institutes of development, the financial organizations and developments of national economy" the Government of the Republic of Kazakhstan DECIDES:

1. Create joint-stock company "National managing holding "Bayterek" (further - society) with absolute participation of the state in its authorized capital.

2. Determine the main object of activity of Bayterek holding management of the blocks of shares belonging to it on the property right and delivered in trust management (shares in the authorized capital) national institutes of development, the national companies and other legal entities, and also stimulation of development of agro-industrial complex of the Republic of Kazakhstan by effective management of the legal entities performing activities in the sphere of agro-industrial complex.

3. Allocate to the Ministry of the industry and new technologies of the Republic of Kazakhstan from reserve of the Government of the Republic of Kazakhstan provided in the republican budget for 2013 on urgent costs, 86550000 (eighty six million five hundred fifty thousand) tenges for forming of the authorized capital of the created society.

4. Approve enclosed:

1) the list of joint-stock companies which state blocks of shares are transferred to payment of the placed shares of society;

2) changes and additions which are made to some decisions of the Government of the Republic of Kazakhstan.

5. Transfer to payment of the placed shares of society the state blocks of shares of joint-stock companies according to appendix 1 to this resolution.

6. Transfer in the procedure established by the legislation republican property according to appendix 2 to this resolution in property of joint-stock company "National welfare fund "Samruk-Kazyna" (further - Fund) in exchange for the absolute block of shares of joint-stock company "The national prospecting company "Kazgeologiya", absolute share in SK-Pharmation limited liability partnership and on blocks of shares of the joint-stock companies specified in appendix 3 to this resolution.

7. To provide to committee of state-owned property and privatization of the Ministry of Finance of the Republic of Kazakhstan in the procedure established by the legislation:

1) together with the Ministry of the industry and new technologies of the Republic of Kazakhstan development and approval of the charter of society, its state registration in judicial authorities of the Republic of Kazakhstan;

2) transfer of blocks of shares of the joint-stock companies specified in appendix 3 to this resolution in payment of the placed shares of society after their acceptance in republican property;

3)  No. 329 is excluded according to the Order of the Government of the Republic of Kazakhstan of 09.04.2014

4) transfer to the Ministry of the industry and new technologies of the Republic of Kazakhstan rights of possession and uses of the state block of shares of society, joint-stock company "National prospecting company "Kazgeologiya";

5) transfer to the Ministry of Health of the Republic of Kazakhstan of right of possession and uses of the state share in SK-Pharmation limited liability partnership;

6) together with the Ministry of the industry and new technologies of the Republic of Kazakhstan Bishimbayev Kuandyk Valikhanovich's appointment the chairman of the board of society;

7) together with the ministries of the industry and new technologies, health cares of the Republic of Kazakhstan and Fund (in coordination) to take the necessary measures following from this resolution.

7-1. To provide to the Ministry for Investments and Development of the Republic of Kazakhstan in the procedure established by the legislation election of representatives of state bodies in structure of the board of directors of joint-stock company "National managing holding "Bayterek" according to appendix 5 to this resolution.

8. This resolution becomes effective from the date of signing.
