About additional measures in the field of alternative and renewable energy

Being guided by Items 7 and 32 of article 109 of the Constitution of the Azerbaijan Republic, for the purpose of enhancement of management system in the field of alternative and renewable energy in the country I decide:

1. Create the State Agency of the Azerbaijan Republic on alternative and to renewable energy resources.

2. Approve "Regulations on the Agency of the Azerbaijan Republic on alternative and to renewable energy resources" it (is applied).

3. Approve "Structure of the Agency of the Azerbaijan Republic on alternative and to renewable energy resources" it (is applied).

4. Set limit of number of employees of the Agency of the Azerbaijan Republic on alternative and to renewable energy resources in 100 established posts.

5. Reorganize State-owned company of the Azerbaijan Republic on alternative and to renewable energy resources both to rename into Azalternativenerzhi Limited liability company and to place under authority of the Agencies of the Azerbaijan Republic on alternative and to renewable energy resources.

6. Transfer property of State-owned company of the Azerbaijan Republic on alternative and to renewable energy resources to the Azalternativenerzhi Limited liability company which is under supervision of the State Agency of the Azerbaijan Republic on alternative and to renewable energy resources.

7. Determine that the Azalternativenerzhi Limited liability company (further - Society) performs activities in the field of designing, productions, constructions, operation of the equipment, installations and objects and infrastructure providing for investigation, development, production, transportation, distribution of energy, receipt of energy on alternative and to renewable energy resources.

8. To charge implementation of powers of general meeting of Society to the following state bodies:

8.1. To the state Agency of the Azerbaijan Republic on alternative and to renewable energy resources:

8.1.1. determination of structure, limit of number of workers, salary systems and approval of expense budget of Society;

8.1.2. creation of executive bodies (joint or single and initial) Societies, determination of their powers and early termination of powers;

8.1.3. position assignment and release from position of the head of executive body of Society, his deputies, heads of representations and branches, and also subordinate structures;

8.1.4. election of the Supervisory board of Society;

8.1.5. determination of the directions of development and activities of Society;

8.1.6. approval of annual statements, balance sheets, accounts of profit and loss of Society, distribution of its profit and loss.

8.2. To the state committee of the Azerbaijan Republic on property questions on the basis of offers of the State Agency of the Azerbaijan Republic on alternative and to renewable energy resources:

8.2.1. approval of the Charter, amount of the authorized capital of Society and changes in it;

8.2.2. consent on creation or abolition of representations and branches of Society, creation in its subordination, reorganization or abolition of structures with the status of the legal entity;

8.2.3. the solution of other questions carried by the Civil code of the Azerbaijan Republic to powers of general meeting, except for noted in this Decree.

9. Reorganization and (or) abolition of Society are performed by the President of the Azerbaijan Republic.

10. Charge to the Cabinet of Ministers of the Azerbaijan Republic:

10.1. in a month to resolve the issues connected with financing of activities of the State Agency of the Azerbaijan Republic on alternative and to renewable energy resources;

10.2. provide the State Agency of the Azerbaijan Republic on alternative and to renewable energy resources with the building and the necessary equipment;

10.3. in a month to solve allocation from the government budget of the Azerbaijan Republic of necessary financial resources for forming and content at primary stage of its authorized capital taking into account property of Society;

10.4. in three-months time to prepare and provide to the President of the Azerbaijan Republic offers on reduction of acts of the President of the Azerbaijan Republic to compliance with this Decree;

10.5. in three-months time to provide reduction of regulatory legal acts of the Cabinet of Ministers of the Azerbaijan Republic in compliance with this Decree and to inform on it the President of the Azerbaijan Republic;

10.6. keep under control reduction of regulatory legal acts of the central executive bodies in compliance with this Decree and in five-months time to inform the President of the Azerbaijan Republic on execution of it;

10.7. resolve other issues following from this Decree.

11. To provide to the Ministry of Justice of the Azerbaijan Republic reduction of regulatory legal acts and acts of normative nature of the central executive bodies in compliance with this Decree and to inform on it the Cabinet of Ministers of the Azerbaijan Republic.

12. To the ministry of taxes of the Azerbaijan Republic and the State committee of the Azerbaijan Republic on property questions to take necessary measures for state registration of Society.

Regulations on the Agency of the Azerbaijan Republic on alternative and to renewable energy resources

1. General provisions

1.1. The state Agency of the Azerbaijan Republic on alternative and to renewable energy resources (further - the Agency) is state body which legal status is equated to the status of the central executive body and performing state policy and regulation in the field of alternative and renewable energy and its rational use (further - in the respective area) in the Azerbaijan Republic, the rational organization of activities on alternative and to renewable energy resources (further - AVIE), coordination of activities and state control in this area.

1.2. In the activities the Agency is guided by the Constitution of the Azerbaijan Republic, the laws of the Azerbaijan Republic, decrees and orders of the President of the Azerbaijan Republic, resolutions and orders of the Cabinet of Ministers of the Azerbaijan Republic, international treaties which participant is the Azerbaijan Republic, and this Provision.

1.3. In case of accomplishment of the tasks and implementation of the rights the Agency interacts with other executive bodies, local government bodies and non-governmental organizations.

1.4. The agency has separate balance, the state-owned property which is at its disposal, treasurer and bank accounts, seal with the image of the State Emblem of the Azerbaijan Republic and own name, the corresponding stamps and forms.
