About measures for creation of the automated information system "State Register of Legal Units"

According to the Law on the registers N 1320-XIII of September 25, 1997. (The official monitor of the Republic of Moldova, 1997, N 77-78, Art. 639), the Law on state registration of the companies and the N 1265-XIV organizations of October 5, 2000. (The official monitor of the Republic of Moldova, 2001, N 31-34, Art. 109) and the Law on entrepreneurship and the N 845-XII companies of January 3, 1992. (The official monitor of the Republic of Moldova, 1994, N 2, the Art. 33) DECIDES: the Government of the Republic of Moldova

1. Approve:

The concept of the automated information system "State Register of Legal Units" according to the appendix N1;

Regulations on the State register of legal units according to the appendix N2.

2. To the ministry of information technologies and communication to develop and provide to the Government for approval:

in a month:

offers on creation of government commission on monitoring of process of development and deployment of the automated information system "State Register of Legal Units";

samples of the single registration certificate, machine-readable identification card and machine-readable licensed card;

till July 1, 2002:

the pilot project of the automated information system "State Register of Legal Units";

together with the Ministry of Justice - the bill on modification of legal acts concerning registration of legal units and implementation of the automated information system "State Register of Legal Units";

together with the Ministry of Justice, the Main state tax authorities, Department of statistics and sociology, Customs department and National cash desk of social insurance - the actions plan on forming of the automated information system "State Register of Legal Units".

The concept of the automated information system "State Register of Legal Units"

 

Introduction

The mankind entered new era where the most important and valuable resource is information, and the main task - creation of information society. Information society differs from society with the dominating smokestack industry and service industry in the fact that evolution of information, knowledge, the information services and all industries connected with their production happens more in high gear. Economic development gives opportunity of creation of new workplaces.

The necessity of creation of the State register of legal units in the Republic of Moldova is caused by availability of a number of registration instances and registers that in no small measure complicates process of accounting and permission of activities of physical persons and legal entities. Now there are following registers of accounting of various categories of legal units: State commercial register of the State registration chamber; State register of taxpayers of the Main state tax authorities; Interadministrative register RENIM and Register of peasant economy of Department of statistics and sociology; The Register of insurance companies of Public service of insurance supervision under the Ministry of Finance, and the Register of the legal entities and physical persons rendering tourist services, National tourism agency and the Register of payers of social fund of National cash desk of social insurance are in process of forming.

The main shortcomings of the existing registers are:

- incomplete scope of legal units (in the State registration chamber there are no data on the government institutions, primeriya, peasant economy, certain physical persons who are independently rendering services such as notaries and lawyers);

- lack of the single identifier (now the organization can have several identification and registration numbers, assigned by various organizations that does impracticable integration of information relating to them);

- lack of communication with the State register of the population that creates backdoor ways for creation of firms phantoms according to the counterfeit or stolen documents that leads finally to huge losses in the government budget;

- availability of big share of paper document flow and creation of registers on obsolete program and technical base that worsens quality, the speed of processing and provision of information to users, first of all legislative and executive bodies.

In the Moldavian legislation there is no concept allowing to cover all categories of legal entities and individual entrepreneurs which shall be considered in the State register of legal units. For this reason in the register the concept of legal unit taken from recommendations of EUROSTAT about accounting of such objects (part 7 "Legal unit and the company") developed by the European Union in cooperation with the European Free Trade Association in 1994 is used.

Creation of the single integrated register is caused generally by need of ensuring effective functioning of departmental information systems, first of all the automated information systems of the Main state tax authorities, National cash desk of social insurance, the State agency of land relations and the inventory, Customs department, etc. These registers require availability of the integrated database on all categories of legal entities and individual entrepreneurs who pay taxes (including to Social Insurance Fund), have the real estate, transport in property, are clients of banks, etc. Along with the State register of the population the State register of legal units will be the basic information massif of the National Information System (NIS).

Availability of the single identifier (IDNO - abbreviation of words on English the Identification Number of Organization language) which will remain invariable throughout the entire period of activities of the legal entity and for certain term after its termination shall be the compulsory provision (for archive).

Thus, creation of the reference register to which all departments which use such information could have continuous round-the-clock access is necessary. Naturally, this register shall be reliably protected from attempts of not permitted access and modification of information containing in it.
