Charter of the State unitary enterprise "Directorate of the free economic zone of Navoiy

I. General provisions

1. The state unitary enterprise "Directorate of the free economic zone of Navoiy (further - Directorate) is the commercial organization in the form of the State unitary enterprise formed based on the property which is in state-owned property transferred to it to operational control which concerning the property assigned to it exercises in the limits established by the law, rights of possession, uses and orders according to the purposes of the activities, the Founder's tasks.

2. The directorate in the activities is guided by the Constitution and the laws of the Republic of Uzbekistan, resolutions and other acts of chambers of Oliy Majlis of the Republic of Uzbekistan, decrees, resolutions and orders of the President of the Republic of Uzbekistan, resolutions, orders of the Cabinet of Ministers of the Republic of Uzbekistan, other regulatory legal acts, and also this Charter.

II. Subject and purposes of activities of Directorate

11. The main activities of Directorate are:

11.1. The conclusion with the investors selected in accordance with the established procedure, investment agreements in the territory of SEZ "Navoiy";

11.2. Registration and maintaining register of members of SEZ "Navoiy", issue of appropriate certificates to them;

11.3. Accounting in the territory of SEZ "Navoiy" of other business entities who are not members of SIEZ "Navoiy";

11.4. Control of proper accomplishment by the investors of the assumed liabilities selected in accordance with the established procedure, with the subsequent representation of its results to Administrative board of free economic zones and small industrial zones of the Navoiy region (further - Administrative board);

11.4-1. Search and involvement of foreign and domestic investors for implementation of investment projects in the territory of SEZ "Navoiy";

11.4-2. Placement of the approved investment projects according to decisions of Administrative board and the developed master plan of SEZ "Navoiy".

11.5. Provision to members of SEZ "Navoiy" and other business entities of the parcels of land in the territory of SEZ "Navoiy" in lease;

11.6. Management of the real estate objects which are in state-owned property located in the territory of SEZ "Navoiy" within the powers conferred to it;

11.7. Implementation of other functions on operational management by activities of SEZ "Navoiy".

If by the legislation it is determined that the related activity provided by this Charter is subject to licensing, the Directorate has the right to perform this type of activity without receipt of the license, on the basis of the license agreement signed with the relevant licensing organ.

12. The directorate can perform other types of activity which are not prohibited by the legislation.

III. Management of activities of Directorate

13. The directorate is accountable to the Founder and Republican council on coordination of activities of administrative boards of free economic zones and small industrial zones (further - Republican council).

14. The founder has the right:

determine the purposes, subject and types of activity of Directorate;

make decisions on modification and amendments in the Charter of Directorate;

make the decision on reorganization or liquidation of Directorate, to appoint liquidation commission and to approve the liquidation balance sheet;

withdraw the excessive, not used or used not for designated purpose property of Directorate and dispose of it;

on receipt of part or all net profit from use of the property transferred to them Directorate;
