RESOLUTION OF COUNCIL OF MINISTERS OF THE REPUBLIC OF BELARUS

About approval of the Regulations on procedure for coordination of names of commercial and non-profit organizations

(as amended on 18-08-2014)

According to Item 10 of the Regulations on state registration of subjects of the managing approved by the Decree of the President of the Republic of Belarus of January 16, 2009 No. 1 "About state registration and liquidation (the activities termination) of subjects of managing" the Council of Ministers of the Republic of Belarus DECIDES:

1. Approve the enclosed Regulations on procedure for coordination of names of commercial and non-profit organizations.

2. This resolution becomes effective since February 2, 2009.

Regulations on procedure for coordination of names of commercial and non-profit organizations

1. This Provision determines procedure for coordination of names of commercial and non-profit organizations (further - legal entities).

2. For review of names of legal entities (further - coordination of the name) can address to registering bodies if other is not established by this Provision, the following applicants:

concerning the legal entities created by the owner of property (founder) (further - the founder) - physical person, - physical person or his representative who is acting on the basis of the power of attorney;

concerning the legal entities created by the founder - the legal entity, the head of this legal entity or the other person authorized according to the constituent document or power of attorney to act on behalf of this legal entity;

concerning the acting legal entities - the head of this legal entity or the other person authorized according to the constituent document or power of attorney to act on behalf of this legal entity.

3. Coordination of the name can be performed in case of:

the personal appeal of the applicant to registering body with presentation of the document proving his identity;

(Paragraph two of Item 3 it is suspended since May 27, 2020 according to the Resolution of Council of Ministers of the Republic of Belarus of 22.05.2020 No. 305)

direction of documents by mail;

the submission of documents in electronic form by the applicant according to the procedure established by this Provision. At the same time documents in electronic form for review of the name can be submitted by the founder (participant) - physical person or legal entity - resident of the Republic of Belarus * along with submission of electronic documents for state registration of the legal entity, the changes and (or) additions made to the charter of the legal entity (the foundation agreement - for the commercial organizations acting only under foundation agreements), according to the procedure, established by Council of Ministers of the Republic of Belarus.

* For the purposes of this provision residents of the Republic of Belarus are understood as citizens of the Republic of Belarus, and also the foreign citizens and persons without citizenship who are constantly living in the Republic of Belarus, the legal entities created according to the legislation of the Republic of Belarus with the location in the territory of the Republic of Belarus.

4. To the appeal to registering body the applicant can check the chosen name by means of the list approved (reserved) names of legal entities, the Single state register of legal entities and individual entrepreneurs placed on the web portal (further - the web portal) (http://egr.gov.by).

5. For review names to registering body applicants if other is not established by this Provision, submit the following documents:

the statement in form according to appendix in case of coordination of the name in case of the personal address of the applicant or by the direction of documents by mail;

the copy of the document confirming in accordance with the established procedure powers of the applicant in case of submission of documents by representatives of legal entity or physical person if other is not established by this Provision;

permissions to use of surnames, pseudonyms of famous persons or use of names in the cases established by the legislation.

Coordination of the name in electronic form is performed by filling on open part of the web portal of the interactive application form established by the Ministry of Justice. The scanned documents specified in paragraph four of part one of this Item in the .pdf format are attached to the filled-in application form if their representation is required according to the legislation.

6. Application forms for coordination of the name can be taken by applicants on the global computer Internet on the official site of the Ministry of Justice, the web portal or are provided gratuitously by registering body in case of the personal request of the applicant for coordination of the name.

7. In case of coordination of the name by means of the web portal the application form is filled in:

the physical person acting as the founder of the legal entity;

the founder's head - the legal entity or the other person authorized according to the constituent document or the power of attorney to act on behalf of this legal entity.

Concerning the acting legal entity the application form is filled in by the head of this legal entity or the other person authorized according to the constituent document or the power of attorney to act on behalf of this legal entity.

8. For the purpose of the ensuring authenticity and accuracy of the data specified in the application submitted in registering body in electronic form coordination of the name, the Ministry of Internal Affairs provides to the Ministry of Justice access to the automated Passport system according to the procedure, determined by the agreement between the Ministry of Justice and the Ministry of Internal Affairs, or by means of the single portal of electronic services of the nation-wide automated information system.

9. The applicant for review of the name can offer one or several versions of the name of the legal entity.

Coordination of the name is made in that priority in which names are specified in the statement, to the first name conforming to the requirements established by the legislation.

10. Coordination of the version of the name of the legal entity offered by the applicant is made by the authorized employee of registering body in case of:

the personal appeal to registering body - in the presence of the applicant in day of the address;

submission of documents by mail - within two working days from receipt date of the statement;
