About measures for implementation of the investment project with JSC Gazprom on conducting exploration works on investment blocks of the Ustyurt region of the Republic of Uzbekistan

1. Take into consideration that:

the resolution of the Cabinet of Ministers of December 6, 2006 No. 254 "About carrying out geological studying of subsoil of investment blocks of the Ustyurt region of the Republic of Uzbekistan" approves the program of step-by-step conducting exploration works developed by JSC Gazprom together with NHK "Uzbekneftegaz" in the Ustyurt region of the Republic of Uzbekistan;

JSC Gazprom in accordance with the established procedure grants licenses for right to use by subsoil plots for geological studying on seven provided investment blocks;

JSC Gazprom authorized the subsidiary company Zarubezhneftegaz Ltd (further - the Operator) to carry out all works within realization signed between NHK "Uzbekneftegaz" and JSC Gazprom of the Agreement on the basic principles of carrying out geological studying of subsoil of investment blocks of the Ustyurt region of the Republic of Uzbekistan;

only for the purpose of the organization and conducting exploration works within the Agreement by the Operator creates Ustyurtzarubezhneftegaz LLC in the form of the legal entity - the resident of the Republic of Uzbekistan;

JSC Gazprom will provide timely and in full financing of exploration works and bears property responsibility for actions of the Operator, as for own;

according to the license agreement, when conducting exploration works within the Agreement preference will be given to the Uzbek personnel, and also the privilege will be had by goods, works and the services provided by the Uzbek producers and/or the Uzbek suppliers.

2. Determine that:

the privileges and preferences provided by Items 3 and 4 of the Presidential decree of the Republic of Uzbekistan of April 28, 2000 No. UP-2598 "About Measures for Attraction of Direct Foreign Investments in Exploration and Production of Oil and Gas" extend to JSC Gazprom, Zarubezhneftegaz Ltd, and also the foreign contract and subcontract organizations attracted by them performing search and investigation of fields of hydrocarbons within implementation of the Agreement and the program of step-by-step conducting exploration works;

the companies and the resident organizations of the Republic of Uzbekistan performing supply of materials, performance of works and rendering services of JSC Gazprom, Zarubezhneftegaz Ltd and to their foreign contractors running for search and investigation of fields of hydrocarbons within implementation of the Agreement and the program of step-by-step conducting exploration works are exempted from the tax discharge on value added.

3. To the State Customs Committee of the Republic of Uzbekistan to perform customs clearance of the imported on customs area of the Republic of Uzbekistan in the temporary import regime of the equipment, material resources necessary for carrying out search, prospecting and other accompanying works on implementation of the specified Agreement and program of step-by-step conducting exploration works, on effective period of the license for right to use by subsoil plots.

Permit to perform Zarubezhneftegaz Ltd in accordance with the established procedure customs clearance in the territory of the Republic of Uzbekistan in temporary import regime of the vehicles of category "Sq.m", "MZ" and "N2" belonging to foreign contractors and subcontractors with the right of their operation only for the purpose of the organization and conducting exploration works within the Agreement on effective period of licenses for right to use by subsoil plots.

4. To Council of Ministers of the Republic of Karakalpakstan in accordance with the established procedure to make to the Operator (Zarubezhneftegaz Ltd) withdrawal of the parcels of land necessary for implementation of the Agreement.

To the ministry of agricultural and water economy of the Republic of Uzbekistan together with the State committee of the Republic of Uzbekistan on geology and mineral resources in accordance with the established procedure to allocate to the Operator (Zarubezhneftegaz Ltd) necessary limit of water intake from superficial and underground sources.

To the Uzbek communication agency and informatization in the procedure established by the legislation to issue to the Operator (Zarubezhneftegaz Ltd), contractors and subcontractors of permission to use of radio-electronic means of communication and high-frequency devices within implementation of the Agreement in the procedure established by the legislation.

8. To the Ministry of Foreign Affairs of the Republic of Uzbekistan according to requests of the Operator, confirmable NHK "Uzbekneftegaz" to provide in accordance with the established procedure execution of visas (including repeated) to the foreign specialists participating in implementation of the Agreement.

9. To the Ministry of Internal Affairs of the Republic of Uzbekistan according to requests of the Operator, confirmable NHK "Uzbekneftegaz" to provide issue and prolongation of multi-visas, and also temporary registration and its prolongation at the place of residence in the Republic of Uzbekistan of the foreign specialists participating in implementation of the Agreement.

10. To the ministry of employment and employment relationships of the Republic of Uzbekistan to provide issue in accordance with the established procedure to the Operator of permissions to attraction to the Republic of Uzbekistan of foreign labor power, and also according to their requests - issue (prolongation) of confirmations to foreign citizens on the right of labor activity in the territory of the Republic of Uzbekistan.

11. Consider invalid the paragraph third Item 1 of the resolution of the Cabinet of Ministers of December 6, 2006 No. 254 "About carrying out geological studying of subsoil of investment blocks of the Ustyurt region of the Republic of Uzbekistan".
