About measures for implementation of the investment project "Production of Electrical Energy by Combustion of Municipal Solid Waste in the Kashkadarya and Samarkand Regions"

For the purpose of improvement of ecological situation in the Kashkadarya and Samarkand regions, productions of electrical energy by implementation of modern decisions and technologies to the sphere of conversion of waste, and also attraction of direct investments in this industry I decide:

I. Production organization of electrical energy by combustion of municipal solid waste.

1. Take into consideration that:

a) the Shanghai SUS Environment company (People's Republic of China) (further - the Investor) within the Investment project "Production of Electrical Energy by Combustion of Municipal Solid Waste in the Kashkadarya and Samarkand Regions" (further - Projects) will found overseas enterprises (further - the Project companies);

(b) between the Investor and on behalf of the Government of the Republic of Uzbekistan on behalf of the Ministry of investments, the industry and trade investment agreements were signed on March 17, 2025;

(c) between JSC Uzenergosotish and the Investor purchase agreements of the electrical energy made within Projects were signed on March 14, 2025;

(e) between Agency on waste management and development of circular economy under the Ministry of ecology, environmental protection and climate change (further - the Agency) and the Investor delivery agreements to the Project companies of municipal solid waste were signed on March 14, 2025.

II. Obligations and privileges.

2. According to purchase agreements of electrical energy and supply of municipal solid waste:

(a) The project companies enable the guaranteed realization of the made electrical energy of JSC Uzenergosotish within 30 years;

(b) The project companies within Projects perform construction of overhead power transmission lines for connection of power plant to single electrical power network and after commissioning - their transfer to JSC Natsionalnye elektricheskiye seti Uzbekistana;

(c) JSC Uzenergosotish conducts the guaranteed procurement and payment for electrical energy in national currency within 30 years;

() the Agency performs supply of municipal solid waste to the Project companies within 30 years in the guaranteed amount;

(e) The project companies provide guarantee of the first-class bank as ensuring proper execution of the obligations in the period of construction in the amount of 16 million US dollars;

(e) The investor refuses the rights and obligations within Projects for benefit of the Project companies established by him.

3. Agency:

(a) provides the parcels of land allocated for overhead power transmission lines, to the Project companies and JSC Natsionalnye elektricheskiye seti Uzbekistana in lease;

(b) provides in lease the parcels of land to the Project companies for use within Projects for the term equal to terms of Projects.

4. Equate the amount of the rent paid by the Project companies and JSC Natsionalnye elektricheskiye seti Uzbekistana for the parcels of land to the size of the land tax.

5. Determine that Projects are implemented in the territory of the industrial zones specialized for utilization and conversion of waste in the territory of polygons of waste.

III. Financial resources.

6. To the investor and the Project companies to provide in 2025 - 2027 start of the equipment with capacity of production:

(a) 240 million kW of electrical energy by conversion of 1,5 thousand tons of waste a day by thermal method with attraction of direct investments in the amount of 150 million US dollars - in the Kashkadarya region;

(b) 240 million kW of electrical energy by conversion of 1,5 thousand tons of waste a day by thermal method with attraction of direct investments in the amount of 150 million US dollars - in the Samarkand region.

IV. Measures for projects implementation acceleration.

7. It is allowed to the Agency and JSC Uzenergosotish:

(a) together with the Project companies to attract the international independent engineering companies and other consultants to projects implementation according to the procedures determined by agreements, way of the conclusion of direct agreements;

(b) to open in banks of the republic within Projects the confirmed and renewable letters of credit for benefit of the Project companies as ensuring obligation fulfillment of purchase of the made electrical energy, delivery of waste within three months.

8. Determine that within Projects:

(a) financing of works on construction of facilities of infrastructure is performed according to the resolution of the President of the Republic of Uzbekistan of December 18, 2020 No. PP-4929 "About measures for further development of engineering and communication infrastructure in regions";

(b) function of the customer of works on construction and repair of infrastructure facilities is performed by the organizations determined in the resolution of the President of the Republic of Uzbekistan of April 30, 2021 No. PP-5101 "About measures for further development of engineering and communication infrastructure of special economic and small industrial zones";

(c) To the ministry of investments, industry and trade, the Agency, JSC Uzenergosotish and JSC Natsionalnye elektricheskiye seti Uzbekistana the right to the conclusion of agreements on direct assignment of rights of the Project companies and the Investor is granted to other creditors participating in financing of Projects in case of non-execution by the Investor of agreement obligations signed within projects implementation.

9. Provide according to requests of the Investor within projects implementation:

(a) To the Ministry of Foreign Affairs - registration in accordance with the established procedure entrance visas to the involved foreign specialists, and also members of their families, if necessary - at the International airport "Tashkent" of Islam Karimov;

(b) To the Ministry of Internal Affairs - issue and prolongation of effective period of reusable visas, registration in the place of temporary stay and its prolongation to the involved foreign specialists, and also members of their families;

(c) To the ministry of employment and reducing poverty - issue (prolongation) in accordance with the established procedure confirmations on the right of implementation of labor activity in the territory of the Republic of Uzbekistan to foreign citizens.

10. Provide to Government commission concerning investment attraction, development of the industry and regulation of trade the right to introduction in need of changes and amendments into target indicators and technical and economic parameters of Projects in coordination with the Investor.
