ORDER OF THE GOVERNMENT OF THE RUSSIAN FEDERATION

About cases of admissibility of agreements between business entities

The government of the Russian Federation decides:

1. Approve enclosed:

general exceptions concerning agreements between buyers and sellers;

general exceptions concerning agreements between business entities on joint scientific research and joint use of the received scientific and (or) scientific and technical results.

2. Business entities - agreement parties between buyers and sellers or agreements between business entities on joint scientific research and joint use of the received scientific and (or) scientific and technical results have the right to file in antimonopoly authority petition for check of compliance of the draft of such agreement to the general exceptions concerning agreements between buyers and sellers approved by this resolution or to general exceptions concerning agreements between business entities on joint scientific research and joint use of the received scientific and (or) scientific and technical results, the approved this resolution.

3. The agreements between buyers and sellers which are not corresponding to the general exceptions concerning agreements between buyers and sellers approved by this resolution and the agreements between business entities on joint scientific research and joint use of the received scientific and (or) scientific and technical results which are not corresponding to general exceptions concerning agreements between business entities on joint scientific research and joint use of the received scientific and (or) scientific and technical results, the approved this resolution can be acknowledged as antimonopoly authority admissible if such agreements correspond to the conditions determined by part 1 of article 13 of the Federal law "About Protection of the Competition".

4. Recognize invalid:

the order of the Government of the Russian Federation of July 16, 2009 No. 583 "About cases of admissibility of agreements between business entities" (The Russian Federation Code, 2009, No. 30, the Art. 3822);

the order of the Government of the Russian Federation of April 29, 2014 No. 385 "About modification of the order of the Government of the Russian Federation of July 16, 2009 No. 583" (The Russian Federation Code, 2014, No. 19, the Art. 2419);

the order of the Government of the Russian Federation of November 30, 2019 No. 1541 "About effective period of the general exceptions approved by the order of the Government of the Russian Federation of July 16, 2009 No. 583" (The Russian Federation Code, 2019, No. 49, the Art. 7119).

5. In the order of the Government of the Russian Federation of December 31, 2020 No. 2467 "About approval of the list of regulatory legal acts and groups of regulatory legal acts of the Government of the Russian Federation, regulatory legal acts, separate provisions of regulatory legal acts and groups of regulatory legal acts of federal executive bodies, legal acts, separate provisions of legal acts, groups of legal acts of executive and administrative organs of the government of RSFSR and USSR, the decisions of the State Commission on Radio Frequencies containing mandatory requirements to which provisions of parts 1, 2 and 3 articles 15 of the Federal law "About Mandatory Requirements in the Russian Federation" (The Russian Federation Code, 2021, No. 2, Art. 471 are not applied; 2024, No. 25, Art. 3505; No. 33, Art. 5163; No. 38, Art. 5651; No. 40, Art. 5981; No. 42, Art. 6257; No. 44, Art. 6619; No. 50, Art. 7744; 2025, No. 6, Art. 439; No. 10, Art. 1067, 1082; No. 13, Art. 1476; Official Internet portal of legal information (www.pravo.gov.ru), 2025, on April 2, No. 0001202504020024; On April 12, No. 0001202504120011):

a) in Item of the 10th figure "489," to exclude;

b) Item 489 of the list of regulatory legal acts and groups of regulatory legal acts of the Government of the Russian Federation, regulatory legal acts, separate provisions of regulatory legal acts and groups of regulatory legal acts of federal executive bodies, legal acts, separate provisions of legal acts, groups of legal acts of executive and administrative organs of the government of RSFSR and USSR, the decisions of the State Commission on Radio Frequencies containing mandatory requirements to which provisions of parts 1, 2 and 3 articles 15 of the Federal law "About Mandatory Requirements in the Russian Federation" approved by the specified resolution are not applied to exclude.

6. This resolution becomes effective since September 1, 2025.

The general exceptions concerning agreements between buyers and sellers approved by this resolution and the general exceptions concerning agreements between business entities on joint scientific research and joint use of the received scientific and (or) scientific and technical results approved by this resolution are effective till September 1, 2031.

General exceptions concerning agreements between buyers and sellers

1. The agreement signed between business entities, one of whom acquires goods or is his potential acquirer, and another provides goods or is his potential seller (further respectively - the buyer, the seller, the agreement), is recognized admissible according to these general exceptions if the following conditions are in total satisfied:

a) the seller sells goods to two or more buyers and has share in the market of these goods less than 35 percent or according to the agreement sells goods to the single buyer whose share in the market of these goods constitutes less than 35 percent;

b) the seller and the buyer do not compete among themselves or compete in the goods market in which the buyer acquires goods for the purpose of its subsequent sale;

c) the buyer does not make the goods interchanged in relation to goods which are the subject of the agreement.

2. The following terms of agreement between the buyer and the seller cannot be acknowledged admissible:

a) the conditions limiting possibility of the buyer independently to determine the price at which he resells goods to other persons, including condition about minimum price of resale of goods or fixed price of resale of goods;

b) the conditions providing refusal of the buyer to sell goods in the territory determined in the agreement and (or) to the buyers belonging to the category determined in the agreement, except for:

the conditions prohibiting to the buyer (except for the organizations of retail trade) to advertizes and sell goods in the territory which in the agreement between the seller and other buyer is determined as the territory within which only other buyer has the right to sell goods;

the conditions prohibiting to the buyer to advertizes and sell goods in the territory in which sale of goods according to the agreement is performed by the seller;
