About approval of the Regulations on the Register of securities of the foreign issuers allowed to the address in the territory of Ukraine

According to Items 1, 3 parts three of Article 2, Items 1, 20, 76 parts one of Article 7, Articles 29, parts five of article 30 of the Law of Ukraine "About state regulation of the capital markets and the organized goods markets", parts two of article 4 of the Law of Ukraine "About the capital markets and the organized goods markets", the National commission on securities and the stock market RESHILA:

1. Approve Regulations on the Register of securities of the foreign issuers allowed to the address in the enclosed territory of Ukraine.

2. Make Changes to Regulations on the admission of securities of foreign issuers to the address in the territory of Ukraine, No. approved by the decision of the National commission on securities and the stock market of January 21, 2021 34, registered in the Ministry of Justice of Ukraine on March 23, 2021 at No. 379/36001, which are applied.

3. In the capital markets and the organized goods markets (D. Peresunko) to provide to department of methodology of corporate management, corporate finances, financial instruments submission of this decision on state registration in the Ministry of Justice of Ukraine.

4. To provide to management of administrative activities promulgation of this decision on the official website of the National commission on securities and the stock market.

5. To department of registration of issues of securities within one month from the date of entry into force of this decision to provide entering of information on admissions of securities of foreign issuers into the address in the territory of Ukraine.

6. This decision becomes effective in three months from the date of its official publication.

7. Control over the implementation of this decision to assign to members of the National commission on securities and M. Libanov, Yu. Shapoval's stock market.

Regulations on the Register of securities of the foreign issuers allowed to the address in the territory of Ukraine

I. General provisions

1. This Provision determines procedure for creation and maintaining the Register of securities of the foreign issuers allowed to the address in the territory of Ukraine (further - the Register), determines data which are entered in the Register.

2. In this Provision terms are used in the following values:

the admission - provision by the National commission on securities and the stock market (further - NKTsBFR) the admission of securities of foreign issuers to the address in the territory of Ukraine;

the register - the information and communication system which is component of the integrated subsystem of complex maintaining the Register of infrastructure of complex information system NKTsBFR (further - KIS), providing collection, accumulating, protection, accounting, reflection, processing of register data and provision of register information concerning securities of the foreign issuers allowed to the address in the territory of Ukraine;

the public registrar - the employee of structural division of NKTsBFR performing registration actions and which is granted right of access to the Register according to the procedure and the amounts provided by this Provision and the legislation, and also performing the powers according to job descriptions NKTsBFR;

registration actions - actions of the public registrar in the Register concerning introduction of the register information provided by this Provision;

register information - data and information on securities of the foreign issuers allowed to the address in the territory of Ukraine, entered in the Register.

Other terms are used in the values determined by the Laws of Ukraine "About the capital markets and the organized goods markets", "About public electronic registers". The terms applied in this Provision and not determined by these Laws are used in the values determined by other Laws of Ukraine.

3. The register is in property of the state.

Holder Reestra is NKTsBFR which provides entering into it of the register information provided by this Provision.

Administrator Reestra is the Agency on development of infrastructure of the stock market of Ukraine (further - ARIFRU) which provides creation, functioning and Reestr's maintaining, and also performs its administration.

4. NKTsBFR according to the tasks assigned to it:

performs development of the organizational and methodological principles of maintaining the Register;

provides entering into the Register and maintenance in control condition of the data specified in Items 13 and 14 of this provision;

performs development of technologies and program technical means of maintaining the Register;

performs maintaining the Register by KIS;

performs development of methodological, normative and technical documents and regulatory legal acts on forming, maintaining and use of data of the Register;

performs other functions, stipulated by the legislation.

5. Maintaining the Register is performed according to requirements of the Law of Ukraine "About public electronic registers".

6. The payment for entering of information into the Register is not levied.

7. The register is public, will be promulgated and supported in urgent condition on the Internet on the NKTsBFR official website.

Forming of the Register is performed retrospectively taking into account information on securities of the foreign issuers who got the admission to entry into force of this provision based on the made decisions of NKTsBFR.

NKTsBFR provides free access to the Register.

8. The register is kept in official language. Register information can be entered in foreign language.

The register is kept with use of the software providing its compatibility and electronic interaction with other public electronic registers, information and communication systems and networks constituting the state information resources.
