In case of failure to complete of voluntary liquidation in the terms established by the legislation and also the termination of the procedure of voluntary liquidation and renewal of activities of the subject of entrepreneurship - the legal entity the tax benefits established by this resolution are not applied.

3. To provide to the Ministry of Justice together with Chamber of Commerce and Industry of the Republic of Uzbekistan extended coverage and explanation in mass media of procedure for voluntary liquidation and termination of activities of subjects of entrepreneurship.

4. To the Ministry of Justice of the Republic of Uzbekistan together with the interested ministries and departments in a month:

make in the Cabinet of Ministers offers on the changes and amendments in the legislation following from this resolution;

provide reduction of regulations of the ministries and departments in compliance with this resolution.

5. To impose control of execution of this resolution on the deputy prime minister of the Republic of Uzbekistan Azimov R. S.

Regulations on procedure for voluntary liquidation and termination of activities of subjects of entrepreneurship

I. General provisions

1. This Provision determines procedure for voluntary liquidation of subjects of entrepreneurship - legal entities (further - the companies) and the terminations of activities of subjects of entrepreneurship - physical persons.

Rules of this provision are not applied in case of liquidation:

banks and other credit institutions;

ceased to be valid according to the Presidential decree of the Republic of Uzbekistan of 03.10.2012 No. UP-4473;

the city-forming and equated to them companies;

the companies having stipulated by the legislation signs of bankruptcy.

2. For the separate companies other features of their liquidation which are not provided by this Provision can be established by the legislation.

3. The decision on voluntary liquidation of the company is made by his founders (participants) according to the procedure, established by the legislation. In the decision it is specified:

the liquidator - liquidation commission (the list of her members) or physical person (passport data);

expected term of liquidation.

4. From the moment of appointment of the liquidator pass all powers on administration of the company to it.

5. The voluntary termination of activities of the subject of entrepreneurship - physical person is performed according to its decision (statement).
