The agreement between the Government of the Republic of Tajikistan and the Cabinet of Ministers of Ukraine on cooperation in the field of the aluminum industry

The government of the Republic of Tajikistan and the Cabinet of Ministers of Ukraine which are hereinafter referred to as with the Parties

attaching importance to development of modern forms of interaction of the companies of the State Parties of the Commonwealth of Independent States in production, commercial, and financial and credit spheres of activity,

aiming to provide favorable conditions for support and development of production and scientific and technical cooperation between the companies of both states,

agreed as follows:

Article 1

The Ukrainian Side authorizes JSC Nikolaev Aluminous Plant:

- within this agreement to provide supply of alumina to all production volume of the Tajik aluminum plant of 500 thousand tons in 1999 and on 600 thousand tons annually, since 2000;

provide on the basis of the agreements signed in accordance with the established procedure in use to business entities of the Tajik Side part of port area and constructions of JSC Nikolayevsky the aluminous plant", export-import transactions, necessary for implementation.

Article 2

The Tajik side within this agreement authorizes the Tajik aluminum plant to provide the total amount of consumption of the alumina delivered to JSC Nikolaev Aluminous Plant of 500 thousand tons in 1999 and on 600 thousand tons, annually, since 2000.

The Tajik Side guarantees payment, in the terms established by the legislation of the Ukrainian Side, alumina within purchase and sale agreements between JSC Nikolayevsky glinozemnykh zavod and the Tajik aluminum plant, and also repayment of the debts formed in 1997 - 1998 through release of bills of exchange, avalized the Government of the Republic of Tajikistan.

Article 3

The parties will assist JSC Nikolaev Aluminous Plant and the Tajik aluminum plant in implementation of joint investing programs.

Article 4

Changes and additions according to the written agreement between Contracting Parties can be made to this agreement. Any amendments shall come into force after each of Contracting Parties informed other Contracting Party that it adjusted all corresponding formalities interfering coming into force of amendments, and these amendments will be drawn up by the separate protocols which are integral part of this Agreement.

In case of the dispute resolution on interpretation or application of provisions of this agreement of the Party are guided by the current legislation of the states of the Parties and rules of international law.

Article 5

This agreement is signed for a period of fifteen years and becomes effective from the date of its signing.

Operation of the Agreement will be prolonged automatically every time the next year if in 6 months prior to the expiration of the corresponding period any of the Parties, in writing through diplomatic channels, does not notify other Party on the intention to terminate it.

It is made in Kiev on July 23, 1999 in duplicate, everyone in the Ukrainian, Tajik and Russian languages, and all texts are authentic.

In case of discrepancy of interpretation of the Tajik and Ukrainian texts, preference is given to the text in Russian.

to the Agreement between the Government of the Republic of Tajikistan and the Cabinet of Ministers of Ukraine on cooperation in the field of the aluminum industry of July 23, 1999

The parties agreed as follows:

- The Tajik aluminum plant and JSC Nikolaev Aluminous Plant in two weeks will make reconciliation of total debt for the delivered alumina, including the amounts of direct debt of the Tajik aluminum plant to JSC Nikolaev Aluminous Plant and amounts of debt of the Tajik Side for the delivered alumina to intermediary structures;

- The Tajik aluminum plant and JSC Nikolaev Aluminous Plant within a month, after outstanding amount reconciliation, will constitute the schedule of its repayment by the Tajik Side and involve forms of repayment of debts in cash, goods, including cotton - fiber, according to the approved debt repayment schedule;

- The Tajik Side guarantees delivery in 1999 on account of repayment of debts of the Tajik aluminum plant 7,0 of one thousand tons of cotton-fiber. Deliveries will be made on account of debt repayment before JSC Nikolaev Aluminous Plant to JSC Kherson Cotton Plant.

The protocol becomes effective from the date of its signing.

It is made in Kiev on July 23, 1999 in duplicate, everyone in the Tajik, Ukrainian and Russian languages, and all texts are authentic.
